Nagashima Ohno & Tsunematsu (NOT), one of Japan's elite Big Four law firms located in Marunouchi, Tokyo, is recruiting a senior bengoshi for its Banking & Finance Practice Group. NOT has long been recognised as a leading adviser to Japan's major financial institutions and international banks operating in the Japanese market.

About the Role

This role involves advising lenders and borrowers on sophisticated financing transactions, including acquisition finance, real estate finance, project finance, and asset-based lending. You will work extensively with the Civil Code (民法 / Minpō) provisions on security interests, the Banking Act (銀行法), and the Act on Securitisation of Assets (資産流動化法).

Our Marunouchi office sits at the centre of Japan's financial hub, providing direct access to the Bank of Japan, the Financial Services Agency (FSA), and Tokyo's major banking headquarters. You will regularly appear before or coordinate with regulatory authorities on complex financial matters.

Practice Areas

• Acquisition finance and leveraged lending
• Real estate finance and REIT-related transactions
• Project finance for infrastructure and energy projects
• Asset-based lending and receivables financing
• Regulatory advisory under the Banking Act (銀行法) and Money Lending Business Act

• Lead banking and finance transactions as senior associate
• Draft and negotiate facility agreements, security packages, and intercreditor arrangements
• Advise on regulatory requirements for banking and lending transactions
• Structure security interests under Japanese law including jōto tanpo (譲渡担保)
• Coordinate with foreign counsel on cross-border financing
• Provide training and mentorship to junior associates
• Contribute to client alerts and publications on regulatory developments

• Registered bengoshi (弁護士) with the JFBA (日本弁護士連合会)
• 8-15 years of post-qualification experience in banking and finance law
• Completion of Shihō Kenshūjo (司法研修所) training
• Expertise in security interest creation and perfection under the Civil Code (民法)
• Strong knowledge of the Banking Act (銀行法) and FSA regulations
• Business-level English essential; international secondment experience preferred
• Track record of managing complex multi-lender transactions
