Naciri & Associés, in association with A&O Shearman (formerly Allen & Overy), is seeking a Senior Associate to join its Capital Markets practice in the Twin Center on Boulevard Zerktouni, Casablanca. This is an outstanding opportunity to work on Morocco's most high-profile securities transactions within a Magic Circle firm environment.

Role Context

Morocco's capital markets are among the most developed in Africa, with the Bourse de Casablanca hosting listed companies across banking, mining, telecoms, and real estate. The AMMC (Autorité Marocaine du Marché des Capitaux) has modernised the regulatory framework significantly, creating growing demand for sophisticated securities lawyers. Naciri & Associés has advised on many landmark Moroccan IPOs, bond issuances, and privatisations.

• Lead on equity and debt capital markets transactions including IPOs, secondary offerings, and corporate bond issuances on the Bourse de Casablanca
• Draft and review prospectuses for AMMC approval and Bourse listing documentation
• Advise issuers and underwriters on securities regulatory compliance and disclosure obligations
• Structure and document sovereign and corporate sukuk issuances under Moroccan Islamic finance law
• Provide ongoing corporate governance advice to listed companies under the Code de Bonne Gouvernance
• Supervise and mentor junior associates and stagiaires

• Master's degree in Business Law or Capital Markets Law; LL.M. from a top international university is an advantage
• Admission to the Barreau de Casablanca
• 6-9 years' PQE in capital markets, securities law, or corporate finance
• Deep knowledge of AMMC regulations, Dahir portant Loi n°1-93-212, and the Bourse de Casablanca listing rules
• Experience with IPOs, bond issuances, or sukuk programmes
• Fluency in French and English required; Arabic an advantage
