Ellex Raidla, one of the Baltic region's most respected law firms, is seeking a Senior Associate to join our Corporate & M&A practice in Tallinn. You will advise Estonian and international clients on complex cross-border transactions, mergers, acquisitions, and corporate restructurings.
As a Vandeadvokaat-track role, you will work on matters governed by the Aeriseadustik (Commercial Code) and the Tsiviilseadustiku uldosa seadus (General Part of the Civil Code Act). Our team regularly handles transactions reviewed by the Estonian Competition Authority (Konkurentsiamet) and coordinates multi-jurisdictional Baltic deals.

Responsibilities
Lead due diligence workstreams on cross-border M&A transactions in Estonia and the Baltics. Draft and negotiate share purchase agreements, shareholder agreements, and merger plans under Estonian law. Advise on Konkurentsiamet (Competition Authority) merger clearance filings. Coordinate with Baltic and international counsel on multi-jurisdictional deals. Mentor junior associates and supervise Vandeadvokaadi abi (assistant lawyers).
Requirements
Master of Laws (Oigusteaduse magister) from the University of Tartu or equivalent. Admission to the Estonian Bar Association (Eesti Advokatuur) as Vandeadvokaat preferred. 5-8 years of M&A experience at a top-tier law firm. Deep knowledge of the Aeriseadustik (Commercial Code) and Estonian corporate governance. Fluent in Estonian and English; Russian is an advantage.
