Ellex Valiunas, one of the most prestigious law firms in the Baltics, is seeking a Senior Associate to join our Corporate & M&A practice in Vilnius. You will advise Lithuanian and international clients on complex cross-border transactions, mergers, acquisitions, joint ventures, and corporate restructurings.
The role involves working with the Civilinis kodeksas (Civil Code) and Akciniu bendroviu istatymas (Law on Companies), advising on transactions reviewed by the Konkurencijos taryba (Competition Council) and coordinating multi-jurisdictional deals across the Baltic region. Ellex Valiunas is consistently ranked Tier 1 by Chambers Europe and Legal 500 for corporate and M&A work in Lithuania.
Responsibilities
Lead due diligence workstreams on cross-border M&A transactions in Lithuania and the Baltics. Draft and negotiate share purchase agreements, shareholder agreements, and merger plans under Lithuanian law. Advise on Konkurencijos taryba (Competition Council) merger clearance filings. Coordinate with Baltic and international counsel on multi-jurisdictional deals. Mentor junior associates and supervise Advokato padejejas (assistant lawyers).
Requirements
Teises magistras (Master of Laws) from Vilnius University or equivalent. Admission to the Lithuanian Bar (Lietuvos advokatura) as Advokatas preferred. 5-8 years of M&A experience at a leading law firm. Deep knowledge of the Civilinis kodeksas and Akciniu bendroviu istatymas (Law on Companies). Fluent in Lithuanian and English; Russian is an advantage.
