Senior Associate – M&A at Wardyński & Partners
Wardyński & Partners, one of Poland's most respected independent law firms with offices in the heart of Warsaw's Śródmieście district near Plac Trzech Krzyży, is seeking a Senior Associate to join our Mergers & Acquisitions practice. Our M&A team advises on some of the most complex cross-border transactions in the CEE region.
About the Role
You will lead deal execution on mid-market and large-cap M&A transactions, advising Polish and international clients on share deals, asset deals, and corporate restructurings under the Kodeks spółek handlowych (Code of Commercial Partnerships and Companies). The role involves drafting and negotiating SPAs, shareholders' agreements, and corporate resolutions, as well as coordinating due diligence workstreams across multiple jurisdictions.
You will regularly interact with the Krajowy Rejestr Sądowy (KRS) for corporate filings and represent clients before the Sąd Okręgowy w Warszawie in corporate disputes when needed. Knowledge of Ustawa o kontroli niektórych inwestycji (foreign investment control) is essential given the increasing regulatory scrutiny of cross-border deals in Poland.

Responsibilities
- Lead and manage M&A transactions from mandate to closing, including drafting SPAs, shareholder agreements, and ancillary documents
- Coordinate legal due diligence across corporate, regulatory, employment, and real estate workstreams
- Advise on corporate restructurings, spin-offs, and transformations under the Kodeks spółek handlowych
- Prepare and file merger control notifications with UOKiK and the European Commission where applicable
- Mentor junior associates and aplikanci (legal trainees) within the M&A team
- Manage client relationships and contribute to business development initiatives
Requirements
- Qualified as adwokat or radca prawny registered with the relevant bar (Okręgowa Rada Adwokacka w Warszawie or Okręgowa Izba Radców Prawnych w Warszawie)
- 6-10 years of post-qualification experience in M&A/corporate law at a leading Polish or international firm
- Deep knowledge of the Kodeks spółek handlowych, Kodeks cywilny (particularly Book III – Obligations), and merger control under Ustawa o ochronie konkurencji i konsumentów
- Experience with UOKiK merger notifications and clearance procedures
- Fluent Polish and English (C1+); German a strong advantage
- Master's degree in law (magister prawa) from a recognised Polish or European university
