Senior Corporate Associate — Kelvin Chia Partnership Myanmar

Kelvin Chia Partnership Myanmar is seeking a Senior Corporate Associate to join our Yangon office on Sule Pagoda Road. You will lead complex cross-border M&A transactions, advise multinational clients on Myanmar Investment Commission (MIC) approvals, and structure foreign investments under the Myanmar Investment Law 2016 and the Myanmar Companies Law 2017.

This role involves direct engagement with DICA for company registrations, drafting shareholders agreements for joint ventures, and conducting legal due diligence on Myanmar target companies. You will also advise on compliance with the Competition Law 2015 and Central Bank of Myanmar foreign exchange regulations.

The ideal candidate is a qualified Advocate with at least 5 years of corporate law experience in Myanmar or Southeast Asia, with a track record of closing significant transactions.

• Lead corporate M&A transactions including due diligence, drafting, and negotiation
• Advise clients on MIC permit applications and DICA company registrations
• Draft and review shareholders agreements, share purchase agreements, and joint venture documentation
• Provide regulatory advice on the Competition Law 2015 and foreign exchange regulations
• Manage client relationships and supervise junior associates
• Coordinate with regional offices across Southeast Asia on cross-border matters

• Qualified Advocate registered with the Myanmar Bar Council
• LL.B. from University of Yangon, Dagon University, or equivalent
• Minimum 5 years of corporate and M&A experience in Myanmar
• Strong knowledge of Myanmar Investment Law 2016 and Companies Law 2017
• Experience with DICA registration and MIC permit applications
• Fluent in Myanmar and English (written and spoken)
• Experience advising international clients on cross-border transactions
