Senior Legal Counsel — Capital Markets

Mercantil Servicios Financieros is seeking a Senior Legal Counsel for its Capital Markets legal team in Caracas. You will advise on securities offerings, regulatory compliance with the Superintendencia Nacional de Valores (SNV), and structured finance transactions for one of Venezuela's leading financial groups.

Key Responsibilities

• Advise on public and private securities offerings, including bonds, commercial paper, and equity issuances
• Ensure compliance with the Securities Market Law (Ley de Mercado de Valores) and SNV regulations
• Structure and document securitisation transactions and structured finance products
• Prepare prospectuses, offering memoranda, and regulatory filings for the SNV
• Coordinate with the Bolsa de Valores de Caracas on listing and disclosure requirements

• Lead capital markets transactions for the Mercantil group
• Manage relationships with the SNV and Bolsa de Valores de Caracas
• Mentor junior legal staff on securities law matters
• Provide strategic legal advice to senior management on capital markets initiatives

• Law degree (Abogado) from a Venezuelan university; LLM in Securities Law or Finance preferred
• Registered with the Inpreabogado
• 7-10 years post-qualification experience in capital markets or securities law
• Bilingual in Spanish and English
• Strong knowledge of the Securities Market Law and SNV regulatory framework
