Senior Legal Counsel — Capital Markets & Investment Banking

SEB's Group Legal division in Stockholm is seeking a Senior Legal Counsel to support its Investment Banking & Capital Markets operations. SEB is a leading Nordic investment bank, and you will provide legal support for equity and debt offerings on Nasdaq Stockholm, structured finance, and derivatives trading from SEB's headquarters at Kungsträdgårdsgatan 8.

Key Responsibilities

• Provide legal support for SEB's underwriting of IPOs, rights issues, and bond offerings on Nasdaq Stockholm
• Advise on derivatives documentation (ISDA Master Agreements) and structured products
• Handle MAR/insider trading compliance and conflict management for the investment banking division
• Advise on EU Securitisation Regulation and covered bond (säkerställda obligationer) frameworks
• Support Finansinspektionen regulatory reporting and supervisory dialogue

Requirements

• Swedish juristexamen; 6-9 years PQE in capital markets, banking, or financial regulation
• Experience with ISDA documentation, EU Prospectus Regulation, and Nasdaq Stockholm rules
• Knowledge of MAR, MiFID II, and Swedish securities regulation
• Previous in-house banking or investment banking experience preferred
