Senior M&A Avukat — Herguner Bilgen Ozeke, Istanbul
Herguner Bilgen Ozeke, Turkey's largest independent law firm, is seeking a Senior M&A Avukat to join its market-leading corporate practice in the Maslak office. This role involves advising on Turkey's most complex mergers, acquisitions, joint ventures, and privatizations under Turkish Commercial Code No. 6102.
Key Responsibilities
- Lead M&A transactions including due diligence, SPA drafting, and closing mechanics under Turkish Commercial Code No. 6102
- Advise on Competition Board (Rekabet Kurulu) merger notification filings under Competition Law No. 4054
- Structure cross-border acquisitions involving Turkish targets for international private equity funds and strategic buyers
- Draft and negotiate shareholder agreements, joint venture agreements, and corporate governance documentation
- Coordinate with Capital Markets Board (SPK) on public company M&A, mandatory tender offers, and squeeze-out procedures
- Manage relationships with key clients including Fortune 500 companies and sovereign wealth funds
- Mentor mid-level and junior associates in the corporate team

Requirements
- Turkish Bar Association (Turkiye Barolar Birligi) membership and active avukat license
- 8-12 years of M&A experience at a top-tier Turkish or international law firm
- Deep knowledge of Turkish Commercial Code No. 6102, Capital Markets Law No. 6362, and Competition Law No. 4054
- Experience leading transactions valued at $50M+ as lead counsel
- LLB from a top Turkish law faculty (Istanbul University, Galatasaray University, Ankara University, or Bilkent); LLM from a US/UK university strongly preferred
- Native Turkish and fluent English; additional languages are a plus
- Strong business development track record and client relationship skills
