Associate – Cross-Border M&A
Kim & Chang is seeking an Associate to join its market-leading Cross-Border M&A practice in Seoul's Jongno-gu district. You will work on Korea's largest inbound and outbound transactions, advising Korean conglomerates (재벌) and multinational corporations on acquisitions, joint ventures, and corporate restructurings governed by the 상법 (Commercial Act) and the Foreign Investment Promotion Act.
Key Responsibilities
- Draft and negotiate share purchase agreements, shareholder agreements, and merger documentation for cross-border deals
- Conduct legal due diligence on Korean target companies, including regulatory filings with the Korea Fair Trade Commission (KFTC)
- Advise on KFTC merger control notifications under the 독점규제 및 공정거래에 관한 법률 (Monopoly Regulation and Fair Trade Act)
- Coordinate with Kim & Chang's overseas desks and foreign counsel on multi-jurisdictional transactions
- Support clients through Korea Exchange (KRX) listing rules and Financial Services Commission approvals
Requirements
- Korean 변호사 (attorney) licence with 3-5 years of M&A experience
- Graduate of an accredited 법학전문대학원 (law school) and completion of JRTI (사법연수원) or bar examination
- Fluency in Korean and English (written and spoken)
- Experience with KFTC filings and cross-border deal structures
