Job Description
Icaza González-Ruiz & Alemán, one of Panama's most prestigious law firms, seeks a Corporate M&A Senior Associate to lead deal execution on cross-border mergers, acquisitions, and joint ventures. You will work under the Ley de Sociedades Anónimas and advise on structuring transactions involving Panamanian holding companies.
Responsibilities
Lead legal due diligence for domestic and cross-border acquisitions. Draft share purchase agreements, shareholders' agreements, and corporate resolutions. Advise on regulatory approvals from ACODECO (competition authority). Structure holding companies and special purpose vehicles. Coordinate closing mechanics and post-closing integration.
Requirements
Licenciatura en Derecho. Colegio Nacional de Abogados membership. 6+ years of M&A or corporate transactional experience. Expert knowledge of the Ley de Sociedades Anónimas. LLM from a recognized international university preferred. Bilingual Spanish/English required.
