This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for aย Director, Commercial Legal based in the United States.
This role is a senior legal leadership opportunity focused on enabling commercial growth in a fast-paced, technology-driven environment. You will act as a strategic partner to Sales, Operations, Finance, and Revenue Operations, ensuring that commercial agreements are structured efficiently, executed smoothly, and aligned with business objectives. The position involves leading complex SaaS and software contract negotiations while balancing legal risk with revenue enablement. You will also play a key role in building scalable contracting frameworks, templates, and governance models to improve deal velocity and consistency. In addition, you will advise on privacy, data protection, AI, and cybersecurity considerations within commercial agreements. This is a highly cross-functional role with direct impact on revenue operations, customer relationships, and overall business scalability.
Accountabilities:
- Lead the drafting, review, and negotiation of SaaS, software licensing, reseller, partner, and vendor agreements.
- Serve as a trusted advisor to Sales, Operations, Finance, and Revenue Operations to support deal strategy and execution.
- Balance legal risk with commercial priorities, ensuring alignment with company policies, approval frameworks, and risk thresholds.
- Provide practical, business-oriented legal guidance to enable efficient and confident decision-making.
- Partner with Deal Desk and Revenue Operations to structure deals, reduce friction, and minimize escalations.
- Develop and scale contracting frameworks, playbooks, templates, and approval processes to improve efficiency and consistency.
- Identify legal and contractual risks early and propose commercially aligned mitigation strategies.
- Support broader legal needs including corporate governance, compliance, employment-related matters, and corporate development initiatives as needed.
- Advise on data privacy, AI, cybersecurity, and regulatory matters within commercial agreements, including DPAs, AI addenda, and security terms.
- Manage external counsel relationships and ensure efficient coordination of outside legal support.
- Build strong cross-functional partnerships and position Legal as a proactive, solution-oriented business enabler.
- Juris Doctor (JD) from an accredited law school and active bar admission in at least one U.S. jurisdiction.
- 8โ12+ years of legal experience with a strong focus on commercial contracting.
- Extensive experience negotiating SaaS and software agreements in a high-growth or technology environment.
- Proven ability to partner with Sales, Operations, Finance, and Revenue Operations in complex deal environments.
- Experience working with Deal Desk, Revenue Operations, or similar commercial functions strongly preferred.
- Demonstrated ability to build or improve contracting processes, governance models, and legal playbooks.
- Strong knowledge of data privacy frameworks (GDPR, CCPA/CPRA) and emerging AI-related regulatory considerations.
- Experience negotiating DPAs, security exhibits, AI addenda, indemnification, and liability provisions in SaaS environments.
- Familiarity with cross-border contracting in global organizations.
- Experience managing external counsel relationships.
- Strong communication skills with the ability to translate legal concepts into clear, practical business guidance.
- Exposure to employment law and corporate compliance topics.
- Experience in AI/ML infrastructure or highly technical SaaS environments.
- Background supporting global revenue organizations at scale.
