Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a General Counsel based in United States.

This is a high-impact executive legal leadership role at the center of a fast-scaling digital infrastructure business. The General Counsel will shape and execute the legal strategy that supports hyperscale data center development, from land acquisition and construction to leasing, energy procurement, and complex corporate transactions. Acting as a key advisor to the CEO, Board, and senior leadership team, this role ensures the organization operates with strong governance, compliance, and risk management frameworks. It combines strategic legal oversight with hands-on involvement in high-value commercial deals and infrastructure development. The environment is fast-paced, growth-oriented, and highly collaborative, requiring both precision and commercial pragmatism. This position is ideal for a legal executive who thrives in complex, technical, and highly regulated industries.

Accountabilities:

    • Lead the company’s legal, governance, and compliance functions, ensuring corporate structure, records, and board processes are properly maintained
    • Ensure full regulatory compliance across corporate, securities, environmental, employment, privacy, antitrust, and related legal domains
    • Advise leadership and the Board on legal risks, fiduciary responsibilities, and strategic decision-making
    • Oversee risk management activities, including insurance strategy, claims, and legal response to crises such as outages, breaches, or operational incidents
    • Lead legal strategy for real estate development, including land acquisition, zoning, permitting, entitlements, and related negotiations
    • Draft, review, and negotiate complex agreements including leases, MSAs, SLAs, purchase agreements, joint ventures, and easements
    • Support energy strategy and infrastructure development, including power procurement agreements, utility interconnections, and renewable energy projects
    • Lead corporate transactions including M&A, financing, due diligence, recapitalizations, and investor-related matters
    • Oversee customer contracting, onboarding, and lifecycle management for hyperscale data center agreements
    • Requirements:

      • Juris Doctor (J.D.) from an accredited law school and active bar membership in at least one U.S. state
      • Minimum 10+ years of legal experience, including in-house counsel or senior leadership roles such as General Counsel or Deputy General Counsel
      • Strong background in corporate law, governance, compliance, and commercial contracting
      • Proven expertise in real estate transactions, land acquisition, and large-scale development projects, ideally within data centers or infrastructure
      • Experience negotiating complex commercial agreements such as leases, energy contracts, and joint venture structures
      • Strong understanding of energy markets, utility agreements, and regulatory frameworks is highly preferred
      • Demonstrated ability to balance legal risk with business strategy in high-growth environments
      • Exceptional negotiation, communication, and stakeholder management skills with executive presence
      • Benefits:

        • Competitive compensation ranging from USD 260,000 to 350,000 annually, depending on experience and qualifications
        • Performance-based annual bonus program aligned with company success
        • Comprehensive health coverage with significant employer contribution for employees and dependents
        • 401(k) retirement plan with immediate eligibility and employer match up to 6%
        • Up to 8 weeks of paid time off including vacation, holidays, and sick leave
        • Remote-first flexibility with support through work stipends and communication allowances
        • Long-term career impact in a high-growth, infrastructure-focused organization shaping digital transformation
