Junior Associate — Corporate Law

Rodner Martínez & Asociados seeks a Junior Associate for its Corporate Law practice in Caracas. You will assist with company formations, corporate governance matters, and commercial contract drafting for Venezuelan and international clients.

Key Responsibilities

• Assist with company formations and registrations before the Registro Mercantil
• Draft corporate resolutions, minutes of shareholders' meetings, and board resolutions
• Review and draft commercial contracts including distribution, supply, and franchise agreements
• Conduct corporate due diligence and prepare due diligence reports
• Research Venezuelan commercial law and prepare legal memoranda

• Support associates and partners on corporate transactions
• Maintain corporate filing calendars and compliance deadlines
• Prepare Registro Mercantil filings and track registration status
• Assist with client correspondence and document management

• Law degree (Abogado) from a Venezuelan university
• Registered with the Inpreabogado
• 1-2 years post-qualification experience in corporate or commercial law
• Bilingual in Spanish and English
• Knowledge of the Venezuelan Commercial Code and company registration procedures
