Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Legal Counsel based in Canada.

This Legal Counsel role sits at the core of a fast-paced, publicly listed organization undergoing continuous growth and transformation. You will support high-impact corporate initiatives including mergers and acquisitions, divestitures, minority investments, and strategic transactions that directly influence business direction. The role also involves advising on securities law, public company disclosure obligations, and corporate governance matters, ensuring compliance while enabling informed decision-making. Working closely with senior leadership, Finance, Investor Relations, and Corporate Development, you will act as a key legal partner in shaping strategy and execution. You will gain broad exposure to complex, cross-border matters within a global operating environment. This is a highly collaborative role where legal expertise is combined with commercial insight and business influence.

Accountabilities:

    • Support strategic corporate transactions, including M&A, divestitures, and minority investments, by assisting with due diligence, drafting and negotiating agreements, and managing legal risks
    • Advise on securities law compliance, continuous disclosure obligations, regulatory filings, and public company governance requirements
    • Partner with Finance, Corporate Development, Investor Relations, and executive leadership on financial reporting, earnings disclosures, treasury matters, and equity programs
    • Provide practical, business-oriented legal advice that balances regulatory compliance with commercial objectives
    • Collaborate with stakeholders across multiple jurisdictions and coordinate with external counsel on cross-border and complex matters
    • Contribute to the development and improvement of legal processes, corporate policies, and governance frameworks
    • Build strong relationships across the organization and act as a trusted advisor to senior stakeholders
    • Requirements:

      • Called to the Bar in a Canadian province with a J.D. or LL.B. and strong academic background in law
      • 4โ€“6+ years of experience in corporate law, securities law, M&A, or a combination of private practice and in-house roles
      • Strong knowledge of public company reporting obligations, securities regulations, and corporate governance best practices
      • Proven experience supporting corporate transactions, including drafting, reviewing, and negotiating transaction documentation
      • Ability to assess legal risk while providing practical, commercially sound advice aligned with business priorities
      • Strong judgment, critical thinking, and decision-making skills in complex and fast-moving environments
      • Excellent communication and stakeholder management skills, with the ability to influence senior business leaders
      • Highly organized, proactive, and capable of managing multiple priorities independently
