Senior Associate — Capital Markets

Roschier's Stockholm office at Brunkebergstorg 2 near Sergels Torg is seeking a Senior Associate for its Capital Markets practice. You will advise issuers, underwriters, and investors on IPOs, rights issues, and bond offerings on Nasdaq Stockholm and Nasdaq First North Growth Market, applying the EU Prospectus Regulation, lagen om värdepappersmarknaden (Securities Markets Act), and MAR.

Key Responsibilities

• Lead execution on IPOs and secondary offerings on Nasdaq Stockholm, including prospectus drafting and Finansinspektionen approval
• Advise on corporate bond issuances and high-yield notes under Swedish and international documentation standards
• Handle MAR (Market Abuse Regulation) compliance, insider lists, and disclosure obligations
• Advise on Nasdaq Stockholm listing requirements and Aktiemarknadsnämnden (Swedish Securities Council) rulings
• Coordinate cross-border offerings with Roschier's Helsinki and international network

Requirements

• Swedish juristexamen; 5-8 years PQE in capital markets or corporate finance
• Strong knowledge of EU Prospectus Regulation, MAR, and Nasdaq Stockholm Rulebook
• Experience with Finansinspektionen prospectus approval process
• Fluent in Swedish and English
