Senior Associate — Corporate M&A

Mannheimer Swartling is seeking a Senior Associate (biträdande jurist) for its market-leading Corporate M&A practice at Norrlandsgatan 21 in Stockholm's Östermalm district, steps from Stureplan and the Stockholm District Court (Stockholms tingsrätt). You will advise on Sweden's most complex cross-border mergers, acquisitions, and public takeovers on Nasdaq Stockholm, working under the Aktiebolagslagen (Swedish Companies Act, SFS 2005:551) and Nasdaq Stockholm's Takeover Rules.

Key Responsibilities

• Lead transaction execution on public takeovers, mandatory bid obligations, and private M&A under Aktiebolagslagen and lagen om offentliga uppköpserbjudanden (Takeover Act)
• Draft and negotiate share purchase agreements (aktieöverlåtelseavtal), shareholders' agreements, and joint venture documentation
• Advise on Konkurrensverket merger filings and EU Commission notifications under the EU Merger Regulation
• Coordinate cross-border deal teams with Mannheimer Swartling's international network
• Supervise biträdande jurister and trainees on transaction workstreams

Requirements

• Swedish juristexamen (Master of Laws) from a recognised university; membership of Sveriges Advokatsamfund preferred
• 5-8 years PQE in corporate M&A at a leading Swedish or international firm
• Strong knowledge of Aktiebolagslagen, Nasdaq Stockholm Rulebook, and Swedish takeover regulations
• Fluent in Swedish and English
