Senior Associate — Corporate & M&A

Tinoco, Travieso, Planchart & Núñez, one of Venezuela's leading full-service law firms, seeks a Senior Associate for its Corporate & M&A practice in Caracas. You will lead complex cross-border transactions, corporate restructurings, and private equity investments involving Venezuelan assets.

Key Responsibilities

• Lead deal execution on mergers, acquisitions, and dispositions involving Venezuelan companies
• Structure cross-border transactions including share deals, asset deals, and corporate reorganisations
• Advise on Venezuelan antitrust clearance under the Pro-Competition Law (Ley para Promover y Proteger el Ejercicio de la Libre Competencia)
• Draft and negotiate complex shareholder agreements, joint ventures, and investment documentation
• Coordinate with international counsel on multi-jurisdictional transactions

• Manage cross-border M&A transactions from origination to closing
• Mentor mid-level and junior associates on corporate matters
• Develop client relationships with private equity firms and multinational corporations
• Represent the firm at international legal conferences

• Law degree (Abogado) from a Venezuelan university; LLM in Corporate Law or M&A preferred
• Registered with the Inpreabogado
• 7-10 years post-qualification experience in corporate and M&A transactions
• Bilingual in Spanish and English (drafting required in both languages)
• Proven track record of closing complex transactions in Venezuela
