Senior Associate – Real Estate at CMS Poland
CMS Poland, part of the CMS international legal network and located in the Eurocentrum Office Complex on Al. Jerozolimskie in Warsaw, is hiring a Senior Associate for our market-leading Real Estate practice. CMS is consistently ranked Band 1 for Real Estate in Poland by Chambers Europe.
About the Role
You will advise developers, investors, and financial institutions on complex real estate transactions including acquisitions, disposals, and forward-purchase/forward-funding structures. The role demands expert knowledge of the Kodeks cywilny (Civil Code) property provisions, Ustawa o księgach wieczystych i hipotece (Land Registry and Mortgage Act), and Ustawa o gospodarce nieruchomościami (Real Estate Management Act).
You will handle title due diligence using the Elektroniczne Księgi Wieczyste system, draft and negotiate complex lease agreements, and advise on zoning and construction law under the Ustawa o planowaniu i zagospodarowaniu przestrzennym and Prawo budowlane. Transactions frequently involve properties in Warsaw's Mokotów, Wola, and Wilanów districts, as well as regional logistics hubs.
Responsibilities
- Lead real estate acquisitions and disposals for institutional investors and developers
- Conduct legal due diligence on commercial, residential, and logistics properties
- Draft and negotiate asset purchase agreements, share deals for SPV-held properties, and lease agreements
- Advise on real estate financing structures including mortgage registration and security packages
- Coordinate with notaries (notariusz) for notarial deed execution and KRS/land registry filings
- Supervise junior team members and manage workstreams on multi-property portfolio transactions
Requirements
- Qualified adwokat or radca prawny with 6-10 years PQE in real estate transactional work
- Expert knowledge of the Kodeks cywilny (property law provisions), Ustawa o księgach wieczystych i hipotece, and Ustawa o gospodarce nieruchomościami
- Experience advising on commercial real estate acquisitions, developments, and structured finance transactions
- Familiarity with Polish planning and construction law (Prawo budowlane, Ustawa o planowaniu i zagospodarowaniu przestrzennym)
- Ability to conduct land registry (księgi wieczyste) due diligence and resolve title issues
- Fluent Polish and English; German advantageous given CMS network
