Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a VP, Legal based in the United States.

This is a high-impact executive leadership role responsible for owning and scaling the entire legal function within a fast-growing, PE-backed SaaS organization. Acting as a strategic advisor to the CFO, Board of Directors, and private equity sponsor, you will design and operationalize a modern legal infrastructure built for speed, automation, and exit readiness. The role blends corporate governance, commercial contracting, and AI-driven legal transformation, positioning Legal as a true growth enabler rather than a compliance gatekeeper. You will lead cross-functional initiatives spanning product, engineering, finance, and corporate development, ensuring legal frameworks support innovation and global expansion. Operating in a highly dynamic, technology-forward environment, you will embed diligence-ready standards across all processes. Accountabilities:

    • Design and implement a modern legal operating model, including AI-powered legal tooling, contract lifecycle management, and automated compliance workflows
    • Lead commercial contracting strategy, building scalable playbooks that enable high-velocity global sales execution while maintaining risk controls
    • Partner with Product and Engineering on AI/ML-driven product development, ensuring compliant data usage, algorithmic governance, and regulatory alignment
    • Serve as Board Secretary, overseeing corporate governance, board materials, and enterprise compliance standards
    • Oversee enterprise risk management, including insurance, regulatory exposure, and financial/legal risk impacting valuation and exit readiness
    • Manage global employment law matters, equity structures, and cross-jurisdiction workforce compliance in partnership with People Operations
    • Lead M&A and corporate development legal support, ensuring diligence readiness and integration of acquisitions
    • Requirements:

      • J.D. from an ABA-accredited law school with active bar membership in good standing
      • 15+ years of legal experience, including significant in-house leadership roles in high-growth technology or SaaS companies
      • Strong expertise in SaaS commercial agreements, enterprise contracting, data processing, and global deal structuring
      • Deep understanding of AI/ML legal issues including data governance, privacy (GDPR, CCPA), and algorithmic accountability
      • Proven experience in corporate governance, ideally including Board-level exposure or Secretary responsibilities
      • Experience managing cross-border employment law, international corporate structures, and global compliance frameworks
      • Strong executive communication skills with the ability to translate complex legal issues into clear business guidance
      • Comfort operating in PE-backed or high-growth environments with a focus on scalability and exit readiness
