Abogado Senior — Derecho Corporativo y M&A

Pérez Bustamante & Ponce (PBP), one of Ecuador's most prestigious law firms, seeks a Senior Corporate & M&A lawyer for its Quito headquarters. The successful candidate will lead complex mergers, acquisitions, and corporate restructurings for multinational clients, private equity funds, and Ecuador's leading business groups.

The role requires deep knowledge of the Ley de Compañías, Código de Comercio, and the regulatory framework of the Superintendencia de Compañías, Valores y Seguros. You will coordinate multidisciplinary teams across tax, competition, and employment law for high-value transactions.

• Leading end-to-end M&A transactions including structuring, due diligence coordination, and closing
• Drafting and negotiating share purchase agreements, shareholders' agreements, and corporate governance documents
• Advising on regulatory approvals before the Superintendencia de Compañías and Superintendencia de Control del Poder de Mercado
• Managing relationships with key multinational and domestic corporate clients
• Mentoring junior associates and contributing to the firm's knowledge management programme

• Título de Abogado from a recognised Ecuadorian university (USFQ, PUCE, UDLA, or equivalent)
• Registered with the Foro de Abogados del Ecuador
• 8-12 years of post-qualification experience in corporate law and M&A
• Proven track record leading due diligence, SPA negotiation, and regulatory filings
• Expertise in the Ley de Compañías, Código de Comercio, and Superintendencia de Compañías regulations
• Fluent English (written and spoken) for cross-border mandates
• LL.M. from a top-tier international university preferred
