Job Description

Associate – Real Estate Fund Structuring

Clifford Chance Luxembourg on Place de l'Europe in Kirchberg is seeking an Associate for its Real Estate and Funds practice. Luxembourg is a leading European domicile for real estate investment funds, with SIF, RAIF, and Part II UCI structures providing flexible vehicles for pan-European real estate investment strategies.

You will advise institutional investors, real estate fund managers, and sovereign wealth funds on structuring Luxembourg-domiciled real estate funds and co-investment vehicles for European property portfolios.

What You Will Do

  • Structure Luxembourg-domiciled real estate funds as SIFs, RAIFs, or Part II UCIs
  • Draft fund documentation including prospectuses, PPMs, and partnership agreements for RE funds
  • Advise on AIFMD compliance for Luxembourg-based real estate AIFMs
  • Structure Luxembourg PropCo/HoldCo arrangements for European property acquisitions
  • Advise on ongoing CSSF regulatory requirements and reporting obligations

Responsibilities

  • Structure and document Luxembourg real estate fund vehicles
  • Draft fund constitutional documents and investor agreements
  • Advise on CSSF applications and regulatory compliance for RE funds
  • Coordinate with tax, corporate, and real estate teams across jurisdictions
  • Support investor negotiations and side letter discussions

Requirements

  • Admission to the Barreau de Luxembourg or qualification in a relevant EU jurisdiction
  • Master in Law; specialisation in real estate or fund law preferred
  • 3-6 years of experience in real estate fund structuring or Luxembourg fund law
  • Knowledge of SIF, RAIF, and AIFMD frameworks for real estate vehicles
  • Fluent in English and French; German is an advantage
  • Understanding of European real estate markets and investment structures
