Clifford Chance's Luxembourg office on Place de l'Europe in the Kirchberg financial district is seeking a Senior Associate for its market-leading Fund Finance practice.

Luxembourg is the European epicentre of fund finance, with capital call facilities, NAV facilities, and hybrid lending structures underpinning the operations of hundreds of PE/RE/infrastructure funds domiciled in the Grand Duchy. You will advise leading international banks and fund sponsors on the full spectrum of fund finance products.

What You Will Do

• Structure and document capital call facilities (subscription line financing) for PE, RE, and infrastructure funds
• Advise on NAV facilities and hybrid fund finance structures
• Draft and negotiate Luxembourg law security packages including pledges over uncalled commitments, distributions, and bank accounts
• Advise on Luxembourg law aspects of GP financing and management company credit facilities
• Handle intercreditor and subordination arrangements in fund finance transactions

• Lead fund finance mandates for bank and sponsor-side clients
• Draft and negotiate facility agreements and Luxembourg security documents
• Advise on structuring Luxembourg law security interests for fund lenders
• Coordinate with Clifford Chance offices globally on cross-border fund finance transactions
• Supervise junior associates and contribute to practice development

• Admission to the Barreau de Luxembourg as Avocat a la Cour
• Master in Law; specialisation in banking/finance law preferred
• 5-8 years of experience in fund finance or banking law in Luxembourg
• Strong knowledge of Luxembourg pledge structures under the Financial Collateral Law
• Experience with capital call facilities and understanding of PE fund economics
• Fluent in English and French
