HLR Law, a respected Brunei law firm with a strong oil and gas and banking practice, is seeking a Corporate & Banking Lawyer for its Bandar Seri Begawan office. The role covers corporate transactions, banking and finance advisory, and regulatory compliance work for clients including local banks, international energy companies, and government-linked corporations.

Key Responsibilities

• Advise on company incorporations, joint ventures, and M&A transactions under the Companies Act (Chapter 39)
• Draft and review banking facility agreements, security documentation, and loan syndication arrangements
• Advise on regulatory compliance with the Brunei Darussalam Central Bank (BDCB) rules and the Banking Order 2006
• Handle corporate governance matters including board resolutions, shareholder agreements, and directors' duties
• Support oil and gas clients on corporate structuring for upstream and downstream operations
• Advise on anti-money laundering compliance under the Criminal Asset Recovery Order 2012

• Handle corporate and banking transactions for the firm's clients
• Draft and negotiate corporate and finance documentation
• Advise on regulatory compliance for banking and corporate clients

• Admitted to practise in Brunei under the Legal Profession Act (Chapter 132)
• 3-7 years of experience in corporate law, banking, or commercial transactions
• Knowledge of the Companies Act (Chapter 39) and BDCB regulatory framework
• Experience in banking and finance transactions
• Law degree from UBD, a UK, Australian, or Malaysian university
• Fluent in English and Malay
