Job Description

Legal Counsel – Fund Administration & Depositary Services

Societe Generale Luxembourg on Avenue Emile Reuter is seeking a Legal Counsel to support its Fund Administration and Depositary Services business lines.

Societe Generale is a leading depositary bank and fund administrator in Luxembourg, providing central administration, transfer agency, and depositary services to hundreds of UCITS and AIFs. You will advise on the legal framework governing depositary functions under the UCITS V Directive, AIFMD, and the Luxembourg Depositary Law.

What You Will Do

  • Advise on depositary agreements, fund administration agreements, and transfer agency contracts
  • Draft and negotiate service agreements for UCITS and AIF depositary mandates
  • Advise on UCITS V depositary liability, asset segregation, and oversight obligations
  • Support the depositary function on legal issues arising from fund oversight activities
  • Advise on CSSF regulatory requirements applicable to depositary banks and administrators

Responsibilities

  • Advise on legal matters relating to depositary and fund administration services
  • Draft and negotiate client service agreements
  • Support the depositary function on oversight and compliance matters
  • Monitor regulatory developments affecting depositary and fund administration
  • Coordinate with internal stakeholders on legal risk management

Requirements

  • Master in Law from a recognised European university
  • 3-6 years of experience in Luxembourg fund services, depositary, or fund administration law
  • Knowledge of UCITS V Directive depositary requirements, AIFMD, and CSSF regulations
  • Experience drafting and negotiating depositary and fund administration agreements
  • Fluent in English and French; German is an advantage
  • Understanding of fund operations and NAV calculation processes
