Securities & Capital Markets Lawyer — Goldfarb Gross Seligman, Tel Aviv
Goldfarb Gross Seligman (GGS), a CMS member firm and one of Israel's top-tier practices, is seeking a Securities & Capital Markets Lawyer to join its Electra Tower offices on Yigal Alon Street, Tel Aviv. The role covers TASE and NASDAQ listings, public offerings, and ongoing securities compliance for Israel's leading public companies.
Key Responsibilities
- Advise on initial public offerings (IPOs) on TASE and dual listings on NASDAQ/NYSE under Securities Law 5728-1968
- Draft prospectuses, shelf offering supplements, and Israel Securities Authority (ISA) filings
- Handle ongoing securities compliance for TASE-listed companies including immediate reports, annual reports, and material event disclosures
- Advise on secondary offerings, rights issues, and bond issuances on the TASE institutional market
- Coordinate with the ISA on regulatory approvals, exemption requests, and enforcement inquiries
- Advise listed company boards on corporate governance requirements under Israeli Companies Law 5759-1999 and TASE listing rules
- Support cross-border capital markets transactions leveraging the CMS international network

Requirements
- Israel Bar Association membership with active license
- 5-8 years of securities and capital markets experience at a leading Israeli firm
- Deep knowledge of Securities Law 5728-1968, Israeli Companies Law 5759-1999, and TASE listing rules
- Experience with ISA filings, prospectus drafting, and public company advisory
- LLB from a top Israeli university; LLM in securities law or US law preferred
- Fluent Hebrew and English; ability to draft in both languages
- Experience with dual-listed (TASE/NASDAQ) companies is a significant advantage
