Job Description
Senior Corporate Counsel – M&A and Group Structuring
ArcelorMittal, the world's leading steel and mining company headquartered at 24-26 Boulevard d'Avranches in Luxembourg City, is seeking a Senior Corporate Counsel to advise on M&A transactions, group corporate restructurings, and the management of its global Luxembourg holding structure.
ArcelorMittal's Luxembourg headquarters oversees operations in over 60 countries. You will advise on cross-border M&A transactions, intragroup reorganisations, and corporate governance for a complex multinational group structure with Luxembourg SOPARFIs at its core.
What You Will Do
- Advise on M&A transactions including acquisitions, disposals, and joint ventures
- Manage Luxembourg SOPARFI and holding company corporate governance
- Advise on intragroup reorganisations, mergers, and demergers under Luxembourg law
- Draft and negotiate shareholders' agreements, SPAs, and JV documentation
- Manage external counsel across multiple jurisdictions on cross-border transactions
Responsibilities
- Lead M&A and corporate restructuring mandates for the group
- Advise the Board and executive management on corporate legal matters
- Manage Luxembourg holding company governance and RCS compliance
- Coordinate with global legal teams on cross-border transactions
- Develop and implement corporate legal policies and procedures
Requirements
- Qualification as a lawyer in Luxembourg or a recognised EU jurisdiction
- Master in Law; LL.M. in Corporate or M&A Law preferred
- 7-12 years of experience in corporate/M&A law with significant in-house or top-tier firm experience
- Strong knowledge of Luxembourg corporate law (Loi du 10 aout 1915) and SOPARFI structures
- Fluent in English and French; Spanish or Portuguese is an advantage for LatAm operations
- Experience managing external counsel and multi-jurisdictional transactions
