OTP Banka Slovenija d.d. is one of Slovenia's largest banks, formed through the historic 2024 legal merger of Nova KBM d.d. and SKB Banka d.d. — the biggest bank merger in Slovenian history — and headquartered at Slovenska cesta 58 in Ljubljana's Center district along the capital's main commercial thoroughfare. A subsidiary of Hungary's OTP Group, the merged bank has a balance sheet of approximately EUR 15 billion, approximately 2,500 employees, and over 900 banking access points making it the most accessible bank in Slovenia, with main offices continuing in Ljubljana, Maribor, and Nova Gorica. OTP Banka Slovenija's in-house legal and compliance division manages banking regulation under the Zakon o bančništvu (ZBan-3), supervision by Banka Slovenije and the ECB under the Single Supervisory Mechanism, AML/KYC compliance under ZPPDFT-2, consumer protection under the Zakon o varstvu potrošnikov (ZVPot-1, Consumer Protection Act), mortgage and real estate lending under the Stvarnopravni zakonik (SPZ, Property Code), GDPR data protection, and payment services regulation under PSD2. The legal team also handled the complex regulatory and corporate aspects of the SKB–Nova KBM merger, including competition clearance, universal legal succession, IT systems integration, and post-merger harmonisation of employment contracts and collective agreements under ZDR-1 across legacy workforces in three cities.
