Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Assistant Company Secretary based in United States.

This role supports the Group General Counsel and corporate governance function within a fast-growing, internationally operated biopharmaceutical environment. The Assistant Company Secretary will help administer Board and committee governance, corporate governance frameworks, shareholder services, and subsidiary governance. The position plays an important role in coordinating governance requirements across a dual-listed public company environment involving Australian and U.S. markets. You will work closely with directors, executives, legal and governance teams, regulators, external advisers, and shareholders. The role also coordinates Governance Specialists across Australia and the United States to ensure consistent and high-quality execution. It is suited to an experienced governance professional who brings strong judgment, discretion, organization, and cross-border regulatory knowledge.

Accountabilities:

    • Support the annual Board and Committee program, including coordinating agendas, Board papers, minutes, resolutions, director inductions, Board evaluation logistics, and ongoing governance administration.
    • Assist the Group General Counsel and Head of Corporate Governance with guidance to the Board, Chair, CEO, CFO, and senior leadership on corporate governance matters, directors’ duties, and governance best practices.
    • Help maintain and continuously improve the corporate governance framework, including Board and committee charters, delegation authorities, policies, governance guidelines, and related processes.
    • Coordinate Australian Securities Exchange compliance activities, Australian Securities and Investments Commission filings, continuous disclosure requirements, listing rule calendars, securities dealing policies, directors’ interests, Annual General Meeting preparation, proxy and shareholder materials, and share registry or depositary relationships.
    • Coordinate with U.S. securities counsel on NASDAQ foreign private issuer obligations, Securities and Exchange Commission filings, and applicable U.S. governance requirements.
    • Coordinate Governance Specialists across Australia and the United States and liaise with external governance advisers and subsidiary governance providers under the direction of the Group General Counsel.
    • Support subsidiary governance and entity management across multiple jurisdictions, including governance activities relating to joint ventures and related entities.
    • Maintain high standards of confidentiality, accuracy, and governance discipline when handling Board-level information, regulatory matters, and sensitive corporate documentation.
    • Contribute to process improvement, continuous learning, and the effective adoption of new tools and approaches that strengthen governance execution.
    • Requirements:

      • 10+ years of experience in company secretarial, corporate governance, or corporate legal functions within a listed company environment.
      • A governance qualification such as Governance Institute of Australia/Chartered Governance Professional, ACIS/FCIS, Australian Institute of Company Directors qualification, law degree, or equivalent is strongly preferred.
      • Strong experience with dual-listed Australian Securities Exchange/NASDAQ companies or other cross-border listed organizations is strongly preferred.
      • Experience working within a regulated, global pharmaceutical, biotechnology, medical device, healthcare, or similarly regulated environment.
      • Deep knowledge of Australian Securities Exchange Listing Rules and the Corporations Act 2001, together with familiarity with U.S. Securities and Exchange Commission and NASDAQ governance requirements.
      • Exceptional organizational skills and attention to detail, with the ability to manage complex governance calendars, deadlines, filings, and Board processes across multiple jurisdictions.
      • Strong integrity, discretion, and sound judgment, particularly when managing confidential Board, executive, shareholder, and regulatory information.
      • Excellent written and verbal communication skills, with the ability to explain complex legal, compliance, and governance matters clearly to directors, executives, regulators, advisers, and other stakeholders.
      • Strong collaboration skills and the ability to work effectively across functions, geographies, cultures, and levels of seniority.
      • Demonstrated adaptability, resilience, and results orientation, with the ability to remain solutions-focused when managing ambiguity, competing priorities, and urgent business needs.
