Job Description

Position Overview

As the Assistant General Counsel you will provide professional legal advice, counsel, support and guidance to Invenergy’s business development and operations in Mexico.

Responsibilities

• Provide legal support on regulatory matters with regards to permitting, registration and authorization of various energy projects, including managing the relationship with governmental agencies such as Ministry of Energy, Energy Regulatory Commission, National Center of Energy Control, amongst others.

• Provide legal support on a wide variety of commercial transactions, including acquisitions and sales of energy facilities, joint ventures and other joint development arrangements, engineering, procurement and construction contracts, power purchase agreements and other off-take and hedge agreements, interconnection agreements, supply agreements and operations and maintenance agreements. 

• Provide legal support on real estate matters with regards to land use and construction licenses, ROWs, amongst others, as well as governmental authorities interaction in such regard. The position will also provide legal advice and support in other areas of the company as needed and able, specifically environmental, tax and labor & employment.

• Draft/review and negotiate contracts of all types, including services, operation and maintenance, supply, procurement, employment, and, in general, provide legal support required on a wide variety of commercial transactions.

• Participate in the Compliance Committee.

Required Skills

• Licenciatura en Derecho degree (JD equivalent).

• 6-8 years of experience either within a law firm or as in-house counsel.

• Able to work under minimal supervision and report to a different office.

• Able to work in English and Spanish – including drafting legal documents and verbal communication skills.

• Ability to prioritize and meet deadlines without sacrificing quality of work product. 

• Excellent interpersonal skills with the ability and desire to work effectively in a team environment. 

• Professional or educational experience in Compliance will be highly valued. 

Experience with some of the following types of transactions, preferably in the energy industry:

• Power purchase agreements; other power offtake and trading arrangements

• M&A, other equity investments, joint ventures

• Construction and procurement contracts

• Long term service contracts (e.g. O&M agreements)

• Lease agreements

• Regulatory filings and correspondence

• Compliance
