Job Description
Associate – Capital Markets & Debt Finance
A&O Shearman's Luxembourg office on Boulevard Joseph II is seeking an Associate to join its Capital Markets and Debt Finance practice. Luxembourg is a leading European venue for bond issuance and listing on the Luxembourg Stock Exchange (LuxSE), and the firm advises on the most complex cross-border debt capital markets transactions.
You will work on high-yield bonds, investment-grade issuances, and structured finance transactions listed on the Euro MTF or the Securities Official List of the LuxSE, as well as CSSF-approved base prospectuses under the EU Prospectus Regulation.
What You Will Do
- Advise on bond issuances and listing applications on the Luxembourg Stock Exchange
- Draft offering circulars, base prospectuses, and CSSF visa applications under the Prospectus Regulation
- Advise on high-yield bond issuances, leveraged finance transactions, and covenant analysis
- Structure Luxembourg issuer SPVs for structured finance and CLO transactions
- Advise on the Luxembourg Transparency Law and ongoing LuxSE disclosure obligations
Responsibilities
- Draft and review capital markets documentation for Luxembourg-listed transactions
- Prepare CSSF visa applications and manage listing processes on the LuxSE
- Advise issuers and arrangers on regulatory compliance and disclosure obligations
- Coordinate with A&O Shearman offices globally on cross-border issuances
- Monitor Luxembourg capital markets regulatory developments
Requirements
- Admission to the Barreau de Luxembourg or qualified in England & Wales / another EU jurisdiction
- Master in Law; LL.M. in Financial Law or Securities Regulation preferred
- 3-6 years of experience in capital markets, debt finance, or structured finance
- Knowledge of the EU Prospectus Regulation, LuxSE listing rules, and Luxembourg issuer structures
- Fluent in English; French is an advantage
- Experience with EMTN programmes and high-yield bond documentation
