Junior Associate – Corporate & SOPARFI Structuring

A&O Shearman's Luxembourg office on Boulevard Joseph II is seeking a Junior Associate for its Corporate practice, with a focus on Luxembourg holding company structures and SOPARFIs.

Luxembourg's SOPARFI (Societe de Participations Financieres) regime, combined with its extensive double tax treaty network and the EU Parent-Subsidiary Directive, has established the Grand Duchy as one of the world's premier corporate structuring jurisdictions. You will advise multinational corporations, private equity sponsors, and sovereign wealth funds on their Luxembourg corporate structures.

What You Will Do

• Advise on the incorporation and management of Luxembourg SOPARFIs and holding companies
• Draft articles of association, board resolutions, and shareholder resolutions
• Advise on corporate governance under the Loi du 10 aout 1915
• Support M&A transactions with Luxembourg-law aspects
• Assist with Luxembourg RCS filings and notarial deed processes

• Support senior lawyers on corporate structuring mandates
• Draft corporate documentation under Luxembourg law
• Conduct corporate law research and prepare legal memoranda
• Manage Luxembourg entity incorporations and RCS filings
• Coordinate with notaries and Luxembourg authorities

• Admission or eligibility for admission to the Barreau de Luxembourg
• Master in Law from a recognised European university
• 0-3 years of experience in Luxembourg corporate law
• Basic knowledge of the Loi du 10 aout 1915 and SOPARFI regime
• Fluent in English and French
• Strong academic record and attention to detail
