Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for an Associate General Counsel, Corporate based in the United States.

This role provides strategic legal support across corporate finance, capital markets, securitization, and broader corporate matters.
You will serve as a key legal partner to Finance and Capital Markets leaders on complex transactions and business initiatives.
The position offers significant exposure to ABS transactions, structured debt, credit facilities, M&A, and SEC reporting requirements.
You will also play an important role in building processes that support future public-company readiness and corporate compliance.
Success requires strong technical legal expertise combined with commercial judgment and the ability to translate complex issues for business stakeholders.
You will work independently while partnering closely with executives, internal teams, and external counsel in a fast-growing environment.

Accountabilities

    • Serve as the legal lead on asset-backed securities transactions, debt and structured debt transactions, M&A activities, and other complex corporate financing matters.
    • Draft, review, and negotiate transaction documents, credit facilities, financing agreements, and third-party contracts with financial institutions, service providers, technology vendors, and other partners.
    • Provide legal guidance to Finance and Capital Markets executives, balancing legal considerations with broader commercial and strategic objectives.
    • Support public-company readiness initiatives, including developing processes and frameworks required to meet current and future SEC reporting and disclosure obligations.
    • Manage external legal counsel supporting Capital Markets and Finance matters, ensuring timely, high-quality, commercially appropriate, and cost-effective advice.
    • Monitor legal, regulatory, and market developments that may affect the business and proactively identify emerging risks and opportunities.
    • Support corporate governance activities, including board and committee meeting preparation, corporate resolutions, and related documentation.
    • Help build scalable legal and compliance processes that can evolve alongside a growing organization and potential transition toward public-company status.
    • Requirements

      • Juris Doctor (JD) from an accredited law school and active membership in good standing with at least one U.S. state bar.
      • At least 5 years of relevant law firm experience or 7+ years of relevant in-house or combined legal experience.
      • Strong, hands-on experience drafting, reviewing, and negotiating sophisticated corporate, financing, and commercial agreements.
      • Demonstrated recent experience supporting SEC reporting and disclosure requirements, including 10-K, 10-Q, 8-K, and proxy statement processes.
      • Strong working knowledge of SEC rules and corporate disclosure requirements.
      • Exceptional analytical, written, and verbal communication skills, including the ability to explain complex legal issues clearly to non-legal stakeholders.
      • Strong organizational and project management abilities, with the capacity to prioritize effectively and operate independently without day-to-day direction.
      • High standards of integrity, sound judgment, humility, and professionalism.
      • Curiosity and willingness to take on new legal and business challenges in a growing organization.
      • Strong ability to partner with senior Finance and Capital Markets executives and contribute commercial judgment alongside legal expertise.
      • Experience with structured finance activities beyond ABS, such as warehouse lending facilities, whole loan sales, or forward flow arrangements, is preferred.
      • Familiarity with consumer financial products and the regulatory environment surrounding them is a plus.
      • In-house experience within a late-stage private company, including investor relations or pre-IPO readiness exposure, is preferred.
      • Ability to work effectively in a remote environment and travel periodically for team gatherings and business needs.
