Job Description:
- Performs general company secretarial duties with respect to the various Boards of Directors of SLHK Group of companies (hereinafter referred to as the “Board”)
- Maintains company registers, such as shareholders and board member registers, filing of board and shareholders’ resolutions, preparing and filing annual returns, changes of directors, forms in relation to change of corporate or shareholders information as required by regulators, etc. with the relevant registries and regulators
- Arranges quarterly Board meetings, prepare the Board Meeting Agenda, attend and prepare Board meeting minutes, and prepare resolutions for Board approval, including where necessary, the circulation of written resolutions for signature by the Board
- Ensures timely renewal of corporate licenses and the filing of annual returns, and acts as the contact point with the Bermudan company secretarial services agent
- Acts as the point of contact with Corporate Secretarial office and updating the GEMS system
- Oversees and continually explores opportunities to improve legal department processes and service delivery with the Legal Team. Identify opportunities to streamline and standardize workflows—for example, contract review and approval processes, legal matter intake, and self-service tools for internal clients—to eliminate bottlenecks, reduce turnaround times, and enhance efficiency and consistency.
- Works with the Legal Team to define and execute the legal technology strategy to modernize the department. Evaluate, select, and implement legal tech solutions (e.g., matter management and e-billing systems, document management and automation tools, e-signature platforms) that improve productivity and analytics.
- Work with the Legal Team to establish robust knowledge management practices in the legal team. Build and maintain a central repository of legal resources (e.g., standard templates, playbooks, precedents, research materials) to promote knowledge sharing and consistency. Implement processes to capture and retain institutional knowledge and prevent loss of critical information during employee transitions.
- Work with Legal Team to standardize and simplify processes (such as contract template use, approval authority matrices, and legal intake procedures) to reduce complexity and improve service quality. Identify and remove operational inefficiencies, ensuring the legal function is agile and responsive.
- Lead or coordinate complex, cross-functional legal projects and strategic initiatives that extend beyond routine legal work. This includes managing project plans and deliverables for initiatives like corporate restructuring data collection, system implementations or migrations, compliance audits, and regional/global legal transformation programs. Utilize strong project management discipline to ensure milestones are met and projects achieve their objectives on time and within budge
- Champion change by effectively communicating and implementing new processes, systems, and tools for the Legal and Corporate Governance functions. Ensure successful adoption by arranging training, fostering buy-in, and aligning improvements with stakeholder needs.
