Position Overview
Job Description
In addition to fulfilling a mandatory legal requirement, the role is essential to support the Company in ensuring compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and Secretarial Standards; managing Board, Committee, and Shareholder meetings, including agendas, minutes, resolutions, and regulatory disclosures; supporting the Board and senior management on governance, compliance, ESG, risk management, and stakeholder matters; overseeing shareholder services, dividend-related compliances, IEPF matters, annual report preparation, AGM processes, and interactions with stock exchanges, registrars, and regulators; and maintaining statutory registers, records, policies, and governance documentation required under applicable laws.
Therefore, this position is essential to meet statutory obligations, mitigate compliance risks, and support the effective governance and functioning of the Company.
As a Company Secretary, you will support end-to-end compliance with applicable corporate, regulatory, and governance requirements for a listed entity and two group companies in India. You will partner with leadership, Board members, and cross-functional teams to manage board processes, statutory filings, investor relations, and secretarial compliances in accordance with the Companies Act, 2013, SEBI regulations, and other applicable laws.

Goodyear South Asia Tyres Private Limited (SATL)
Goodyear Technology Center India Private Limited (GTCI)
Also, supporting the Head Company Secretary in managing Board processes, regulatory compliances, governance requirements, and shareholder-related matters of Goodyear India Limited (GIL).
What You'll Do
Corporate Governance & Compliance
- Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, Secretarial Standards, and other applicable statutory requirements for a listed company and two group companies in India.
- Support the implementation and monitoring of corporate governance frameworks, policies, and compliance programs.
- Track regulatory developments and provide guidance to internal stakeholders on applicable compliance requirements.
- Apply knowledge of SEBI (LODR) Regulations, Related Party Transactions, Dividend Regulations, Insider Trading Regulations, Takeover Code, and Materiality requirements.
Board, Committee & General Meetings
- Support the planning, coordination, and execution of Board Meetings, Committee Meetings, and Annual General Meetings.
- Prepare and circulate agendas, board packs, notices, resolutions, and supporting documentation.
- Draft and maintain meeting minutes and statutory records in compliance with legal and regulatory requirements.
Statutory Filings & Regulatory Reporting
- Ensure timely filing of statutory forms and returns with the Registrar of Companies (RoC), SEBI, and Stock Exchanges.
- Prepare and submit periodic disclosures, quarterly filings, annual returns, and other regulatory reports.
Secretarial Documentation & Records
- Maintain statutory registers, records, and governance documentation as required under the Companies Act and SEBI regulations.
- Support the preparation of notices, newspaper publications, and the Annual Report.
Investor Relations & Shareholder Services
- Manage shareholder communications and coordinate with the Registrar & Transfer Agent (RTA).
- Respond to investor queries and shareholder grievances in a timely and professional manner.
- Support dividend declaration, payment processes, and unpaid dividend management.
Postal Ballot & IEPF Compliance
- Manage the end-to-end postal ballot process and related secretarial compliances.
- Ensure compliance with Investor Education and Protection Fund (IEPF) requirements, including transfer of shares, unclaimed dividends, and related filings.
Insider Trading & Internal Compliance Systems
- Manage and monitor internal compliance tools and Code of Conduct systems.
- Ensure compliance with SEBI (Prohibition of Insider Trading) Regulations and maintain related records and disclosures.
Cross-Functional Collaboration
- Partner with Legal, Finance, HR, and other business functions to ensure compliance alignment across the organization.
- Support the implementation of compliance calendars, governance initiatives, and internal control mechanisms.
Experience & Qualifications
- Qualified Company Secretary (ICSI).
- 8+ years of overall experience in corporate secretarial, compliance, and governance functions.
- Minimum 6 years of experience supporting a listed company
