Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Corporate Counsel, Commercial based in United States.

This is an opportunity to join a collaborative global legal team supporting a high-growth technology business and its worldwide go-to-market organization.
You will take ownership of commercial legal matters from day one, working closely with experienced in-house counsel while advising teams across the business.
The role covers enterprise SaaS, software licensing, vendor agreements, privacy, and international commercial transactions.
You will partner directly with Sales, Finance, Procurement, Product, Security, and Deal Desk to help close meaningful business opportunities.
Beyond day-to-day transactions, you will help shape contract playbooks, templates, and workflows to make legal support faster and more effective.
You will also contribute to an AI-augmented legal function, exploring practical ways to use emerging tools and automation.
This role is well suited to a curious, commercially minded attorney who enjoys ownership, pace, and solving complex problems alongside the business.

Accountabilities

    • Draft, review, and negotiate a broad range of commercial agreements, including SaaS subscriptions, software licenses, NDAs, data processing agreements, and vendor or supplier contracts.
    • Support senior legal counsel with complex transactions, deal structuring, negotiations, and risk assessment.
    • Partner with Sales, Procurement, Finance, Deal Desk, Product, Security, and other stakeholders to align agreements with commercial objectives and established risk frameworks.
    • Support new product launches by developing and reviewing customer-facing terms, commercial documentation, and go-to-market agreements.
    • Advise internal stakeholders on privacy and data protection matters, including requirements under GDPR, CCPA, and other applicable regulations.
    • Provide practical, business-oriented legal guidance that enables teams to move quickly while managing commercial and regulatory risk.
    • Improve contract templates, legal playbooks, processes, and workflows to increase efficiency and consistency.
    • Help evaluate and implement AI-powered legal tools and automation opportunities as the legal function evolves.
    • Collaborate with other members of the legal organization on broader business and strategic matters as opportunities arise.
    • Requirements

      • Juris Doctor (JD) degree from an ABA-accredited law school and active admission to a U.S. state bar in good standing.
      • 2–4 years of professional experience in commercial, SaaS, technology transactions, or a closely related legal practice, gained in-house or at a law firm.
      • Working knowledge of data privacy and protection regulations, particularly GDPR and CCPA, as well as software licensing models.
      • Strong commercial judgment and the ability to understand the business rationale behind legal and contractual issues rather than focusing only on individual provisions.
      • Demonstrated ownership, accountability, and follow-through, with the ability to manage matters independently and close open issues efficiently.
      • Excellent written and verbal communication skills, with the ability to provide clear, concise, and practical advice to business stakeholders.
      • Strong organizational skills and attention to detail, particularly when managing multiple transactions and priorities in a fast-paced environment.
      • Genuine curiosity about AI and enthusiasm for adopting AI-enabled legal technology and modern approaches to legal operations.
      • Prior in-house experience in a high-growth technology environment is a plus.
      • An undergraduate degree in business, computer science, or another technology-related discipline is advantageous.
      • Experience with multi-state commercial contracts or vendor negotiations is beneficial.
      • Proficiency in a second language such as French, German, Italian, Spanish, or Portuguese is a plus.
      • Benefits

        • Competitive salary and equity opportunities.
        • Unlimited paid time off designed to support a healthy work-life balance.
        • Health, dental, and vision coverage.
        • 401(k) plan and flexible spending account (FSA) benefits.
        • Commuter benefits.
        • Home internet and phone stipend.
        • Learning and professional development opportunities.
        • Team celebrations, social activities, and recreational events.
        • Opportunity to influence a high-performance technology organization during an important stage of growth.
        • Inclusive, collaborative, and globally distributed work environment.
        • Remote work flexibility for U.S.-based employees.
