Job Description

Barnes & Thornburg LLP is seeking a Corporate Paralegal to support our Corporate Department, primarily in our South Bend office, with flexibility to work in our Elkhart office as needed. This is an excellent opportunity to join a sophisticated and growing transactional practice and work on a broad range of corporate matters in a fast-paced Am Law 100 law firm environment.

Position Overview

In this role, you will support attorneys on a variety of transactional and general corporate matters, including mergers and acquisitions, financings, entity formation and governance, due diligence, closings, and ongoing business support. This position is well suited for a detail-oriented, proactive professional who is comfortable managing multiple priorities and interested in building or expanding a long-term career in corporate legal support.

Responsibilities

  • Support attorneys on a wide range of corporate transactional and general corporate matters

  • Assist with mergers and acquisitions, financings, reorganizations, asset purchases, and other business transactions

  • Collect, review, organize, and track due diligence materials and closing deliverables

  • Prepare and maintain checklists, coordinate closings, and assist with closing binders and related documentation

  • Draft, organize, and file corporate formation, governance, and maintenance documents

  • Assist with corporate records, entity management, and other ongoing business support matters

  • Support preparation and filing of various state and federal forms and related transaction documents

  • Assist with UCC filings, searches, and related documentation

  • Communicate with clients, attorneys, opposing counsel, government offices, vendors, and other stakeholders

  • Maintain organized transaction files and records

  • Support special projects and other duties as assigned

Qualifications

  • Bachelor’s degree and/or Paralegal Certificate preferred

  • 5+ years of relevant corporate paralegal or transactional legal support experience preferred

  • Experience with mergers and acquisitions, financings, due diligence, closings, entity work, or general corporate matters preferred

  • Strong organizational skills and attention to detail

  • Ability to manage multiple tasks and shifting priorities in a deadline-driven environment

  • Strong written and verbal communication skills

  • Sound judgment, flexibility, and a proactive approach to problem-solving

  • Ability to work effectively both independently and as part of a team

  • Proficiency with Microsoft Office Suite and comfort working with legal document management systems
