Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Corporate Paralegal based in the United States.

The Corporate Paralegal will play a central role in supporting corporate governance, securities, financing activities, and legal operations within a growing organization.
This is a broad, hands-on position that combines day-to-day legal support with ownership of important corporate processes and strategic initiatives.
You’ll work closely with legal leadership while partnering with Finance, People, Executive Operations, and other business teams.
The role offers the opportunity to support complex transactions, maintain critical corporate records, and strengthen scalable legal infrastructure.
You’ll have significant autonomy and will be expected to bring structure, accuracy, and practical solutions to complex projects.
The environment is collaborative and fast-paced, with exposure to financing, equity, governance, diligence, and other strategic corporate matters.
This is a fully remote opportunity suited to an organized legal professional who enjoys ownership, variety, and continuous process improvement.

Accountabilities

    • Support Board of Directors and committee activities by preparing meeting materials, organizing minutes and resolutions, coordinating approvals and consents, and maintaining governance records.

    • Maintain corporate books, entity records, and subsidiary information, including formations, qualifications, annual filings, registered agents, and other corporate maintenance requirements.

    • Support equity financings, debt transactions, secondary transactions, and other corporate transactions by coordinating signatures, closing documentation, diligence, filings, and transaction records.

    • Partner with Legal, Finance, and People teams on equity administration, including grants, exercises, stockholder records, capitalization information, and related documentation.

    • Develop and maintain scalable legal processes, templates, trackers, policies, document-management practices, and other systems that improve efficiency and visibility.

    • Support the execution, organization, and tracking of significant contracts and legal documents while monitoring key obligations and deadlines.

    • Coordinate legal diligence and data-room activities for financings, commercial transactions, M&A, and other strategic initiatives.

    • Collaborate with Finance, People, Executive Operations, and other teams to gather information, coordinate approvals, and keep complex projects progressing.

    • Coordinate workflows with outside counsel and external service providers, including information requests, documents, signatures, invoices, filings, and other administrative requirements.

    • Take ownership of additional legal projects and responsibilities as the organization continues to grow and evolve.

    • Requirements

      • 4+ years of corporate paralegal experience in a law firm and/or in-house legal department, preferably supporting venture-backed, technology, manufacturing, energy, or other high-growth organizations.

      • Strong experience with corporate governance, Board and committee processes, corporate records, and entity management.

      • Experience supporting corporate transactions such as venture financings, debt financings, M&A, secondary transactions, or similar matters.

      • Excellent organizational and project-management skills, with the ability to manage multiple priorities and deadlines while maintaining a high level of accuracy.

      • Strong written and verbal communication skills and the judgment to work effectively with attorneys, executives, directors, employees, and external advisors.

      • Ability to handle sensitive and confidential information with discretion and professionalism.

      • Proactive, practical problem-solving approach with a strong sense of ownership and willingness to manage both strategic projects and detailed execution.

      • Comfort working independently and with a high degree of autonomy in a small, collaborative Legal team.

      • Preferred experience supporting a late-stage private or public company.

      • Familiarity with equity administration and capitalization platforms is an advantage.

      • Experience with legal technology, contract lifecycle management, Board-management, or entity-management systems is preferred.

      • Demonstrated ability to develop and improve legal processes rather than simply administer existing procedures.
