Position Overview

聽

TD is seeking Counsel, Legal to join the Mergers & Acquisitions legal team.

The M&A Counsel will serve as a trusted advisor to TD's Corporate Development team, business executives and other legal colleagues on a broad range of strategic transactions and corporate initiatives. The successful candidate will participate in leading the legal aspects of mergers, acquisitions, divestitures, strategic investments, joint ventures and partnerships, internal reorganizations and other significant strategic transactions across TD's businesses.

The role requires strong transaction execution capabilities, sound judgment, exceptional stakeholder management skills and the ability to balance legal risk management with commercial objectives in a dynamic, fast-paced and highly regulated environment.


Key Responsibilities

聽

Lead Strategic Transactions

路聽聽聽 Lead legal execution of mergers, acquisitions, divestitures, strategic investments, joint ventures partnerships, internal reorganizations and other significant strategic transactions

路聽聽聽 Advise on transaction structure, legal and regulatory considerations, governance requirements and execution strategy

路聽聽聽 Draft, negotiate and oversee transaction documentation

路聽聽聽 Lead legal due diligence and integration planning efforts

路聽聽聽 Coordinate multidisciplinary legal support across specialist practice areas

Advise Senior Leadership

路聽聽聽 Provide legal advice regarding transaction opportunities and risks

路聽聽聽 Present complex legal and business issues in a practical, concise and actionable manner

路聽聽聽 Support executive, management and board approval processes

Manage Legal and Regulatory Risk

路聽聽聽 Identify, assess and mitigate legal and regulatory risks associated with strategic transactions

路聽聽聽 Advise on applicable banking, financial services, securities, competition, privacy, employment, technology and other legal issues

路聽聽聽 Support engagement with Canadian, U.S. and international regulatory authorities, where required

Lead External Counsel and Internal Stakeholders

路聽聽聽 Select, instruct and manage external counsel

路聽聽聽 Drive efficient use of legal resources and management of external legal spend

路聽聽聽 Coordinate teams across Legal, Compliance, Risk, Finance, Tax, Treasury, Human Resources and business lines

路聽聽聽 Lead cross-functional transaction teams and influence outcomes across multiple stakeholder groups

Qualifications

聽

Required Experience

路聽聽聽 Law degree (LL.B. or J.D.) and member in good standing of the Law Society of Ontario

路聽聽聽 Typically 4+ years of experience in mergers and acquisitions, corporate transactions or corporate development matters gained at a leading law firm, financial institution or sophisticated in-house legal department

路聽聽聽 Experience leading complex domestic and cross-border transactions

路聽聽聽 Experience negotiating transaction documents and managing external counsel

路聽聽聽 Experience advising senior executives and other decision-makers
