Job Description
This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Junior Company Secretarial Assistant II based in India.
This role supports corporate secretariat activities for an international group and its subsidiaries across multiple jurisdictions. You will contribute to statutory compliance, entity administration, corporate records, and routine governance processes. The position offers exposure to incorporation, restructuring, mergers and acquisitions, entity maintenance, and other corporate projects. You will work closely with colleagues across legal, corporate secretariat, and other business functions in a multicultural environment. Strong organization, accuracy, confidentiality, and communication are essential for managing varied responsibilities and deadlines. The role also provides opportunities to develop company secretarial expertise and broaden your experience within an international corporate environment.
Accountabilities

Support the provision of corporate secretariat services to group entities and overseas subsidiaries across multiple jurisdictions.

Assist with the incorporation and registration of new entities and the deregistration or liquidation of existing entities.

Maintain statutory documentation, corporate records, entity files, and entity management database information.

Prepare and coordinate subsidiary board minutes and shareholder resolutions for routine and ad hoc matters.

Assist with the preparation and submission of statutory returns and statutory accounts.

Provide company secretarial and KYC support for projects and bids, including preparing statements and gathering required documentation.

Prepare Powers of Attorney and support document execution requests, including notarization and legalization activities.

Support mergers, acquisitions, divestitures, reorganizations, and related corporate projects, including post-completion filings and onboarding of new entities.

Assist with the review of UK subsidiary accounts and other corporate governance documentation.

Collaborate with external consultants, legal service providers, and internal stakeholders to support entity compliance and maintenance.

Provide administrative and corporate secretarial assistance to members of the Legal team as required.

Maintain a high level of accuracy, confidentiality, and compliance across all corporate records and processes.

Practical experience in company secretarial work, ideally gained within an international corporate secretariat or complex multinational organization.

Experience supporting the administration and maintenance of entities across multiple jurisdictions.

Strong understanding of company secretarial processes, statutory compliance, corporate records, and governance documentation.

ICSA qualification or active progress toward an ICSA qualification is desirable.

Alternatively, a relevant degree or equivalent qualification, with willingness to undertake ICSA postgraduate studies.

Intermediate proficiency in Microsoft Office applications.

Experience using an entity management platform or database, such as EnGlobe or Blueprint, is desirable.

Strong organizational and administrative skills, with the ability to prioritize a large and varied workload.

Excellent written and verbal communication skills, particularly strong written English.

Ability to work independently with minimal supervision while collaborating effectively within a team.

Comfortable working in a fast-paced environment and managing demanding deadlines.
