Job Description

We are currently looking for a senior Anti trust and Competition Legal Consultant to join Axiom's growing team! You will get to work with one of our MNC clients on this regional legal role to provide oversight of local matters across the region.

 

Responsibilities:

 

  • Corporate Transactions
    • Antitrust Due Diligence Reviews: Conducting antitrust due diligence, reviewing transaction documents in VDRs, and coordinating with international and local counsel across relevant jurisdictions on transaction structures
    • Transaction Agreements & Key Terms: Drafting, reviewing, and advising on antitrust issues involved in Share Purchase Agreements (SPAs), term sheets, and key issues lists for strategic corporate transactions
    • Merger Filings & Regulatory Approvals: Assessing pre-merger and post-closing filing requirements, risks, and timelines with local counsel
    • Strategic Project Support: Providing antitrust support for corporate transactions and other special projects as needed
  • Regulatory Engagement
    • Regulatory Investigations & Inquiries: Formulating responses and legal arguments for inquiries and investigations from competition authorities across the region
  • Commercial BAU Antitrust Compliance
    • Commercial Guidelines and Policies: Researching regional competition issues, analyzing market practices, and writing legal positions and recommendations on commercial policies such as exclusivity programs and incentive programs
    • Business Advisory: Assessing legal risks associated with commercial initiatives as they arise and providing advice to relevant stakeholders
  • Internal Reporting and External Counsel Management
    • Executive Committee Preparations & Reporting: Reviewing, editing, and updating regulatory write-ups, risk factor disclosures, and communication plans for executive committee memos, as well as preparing for and attending executive committee meetings
    • External Counsel Management: Coordinating and aligning legal strategies with external law firms to ensure consistent approaches across jurisdictions

 

 

Qualifications: 

  • 6+ years experience in antitrust and competition law.
  • Strong antitrust and competition law background, covering merger control, regulatory investigations and commercial advisory
  • Comfortable operating as the dedicated in-house antitrust specialist, supported by external counsel
  • Experience across Southeast Asia competition regimes is an advantage
  • Experience in Tech, FinTech, Logistics is an advantage
