The Role

We are looking for a Legal Counsel in Madrid (Spain) which provides support to the EMEA Legal Team in the overall management and administration of the legal and commercial department, ensuring that the risk to the business is minimized and the company remains compliant with all legal requirements. The role will provide hands-on support on commercial, employment, corporate and legal operational matters, while acting as a key day-to-day legal contact for internal stakeholders and helping to drive efficient legal processes and governance across the business.

 

What You’ll Do

• Involved in the entire contract lifecycle management

• Draft, review, and negotiate a wide range of technology-related commercial vendor and customer agreements (MSAs, SaaS, license agreements, reseller agreements, NDAs, vendor contracts, data processing agreements, service level agreements etc.) to align transaction documents with desired business outcomes and ensure adherence to company policies, commercial specifications and requirements.

• Assist and coordinate with other members of the Legal team in preparing minutes, consents, resolutions and other corporate documents

• Act as key legal contact for employment law matters, advising HR and management on day-to-day issues including negotiations with the works council and coordinating with external counsel where required.

• Assist in maintaining the Legal Department’s document database and work with Legal team in developing playbooks, clause libraries, checklists, and approval workflows, strengthening contract lifecycle processes and ensuring consistency across business units.

• Liaise with, coordinate, and ensure the cost-effective use of external counsel in Spain and Portugal

• Responsibility for the standardization of our contracts and compliance with laws and regulations

• Collaboration with our Global legal team and other subject matter experts to proactively resolve commercial and legal issues.

 

 

What You’ll Bring

• You have a master's degree in Spanish law, preferably in the field of employment law and/or commercial law

• You have -5+ years of relevant work experience in reviewing (inter-)national contracts, preferably gained in a software- and/or international company

• Demonstrated experience advising on Spanish and Portuguese employment law

• Strong interpersonal skills, excellent judgment and business acumen with well-developed communication skills to advise effectively at all levels of the organization.

• You have excellent oral and written communication skills in Spanish and English

• Ability to triage a heavy workflow, meet deadlines, prioritize workload, adapt to changing conditions, set appropriate priorities with clients and deliver results efficiently.

•Enjoys working in fast paced international environment and have the ability to balance legal risk mitigation against key business objectives and risks.
