This role is particularly well suited to an attorney who combines strong technical legal capabilities with a genuine commitment to advancing the energy transition.

Accountabilities:

    • Advise clean energy companies, developers, investors, private equity funds, and other clients on sophisticated corporate and transactional matters throughout the business lifecycle.
    • Lead and substantially contribute to complex financing, equity investment, private equity, joint venture, strategic partnership, and other commercial transactions.
    • Structure, draft, negotiate, and execute financing and capital-raising transactions while managing deal processes with limited oversight.
    • Advise clients on reorganizations, restructurings, corporate strategic transactions, entity formation, capitalization, shareholder matters, partnership matters, and corporate governance.
    • Identify legal, commercial, and transactional risks and develop practical, creative solutions aligned with client objectives.
    • Serve as a senior or lead attorney on complex transactions, coordinating deal teams and ensuring matters progress efficiently and effectively.
    • Build and maintain trusted client relationships through clear communication, sound judgment, responsive advice, and strong transaction management.
    • Supervise, support, and mentor junior attorneys and other members of transaction teams, contributing to a collaborative and knowledge-sharing environment.
    • Contribute to the development and expansion of the corporate practice by identifying opportunities to strengthen existing client relationships and develop new business.
    • Monitor legal, regulatory, commercial, and market developments affecting corporate transactions and the renewable energy sector.
    • Manage multiple sophisticated matters simultaneously while maintaining high standards of quality, organization, responsiveness, and professionalism.
    • Follow established professional policies, practices, and priorities while supporting additional strategic initiatives as needed.
    • Requirements:

      • 5+ years of law firm experience, ideally in a practice serving renewable energy, clean technology, infrastructure, or related clients.
      • Mandatory experience in the clean energy, renewable energy, infrastructure, climate technology, or sustainable development sectors.
      • Demonstrated experience leading or substantially contributing to complex financing, joint venture, private equity, strategic investment, or other sophisticated corporate transactions.
      • Strong ability to independently lead complex financing transactions, manage transaction processes, and coordinate supporting attorneys with minimal supervision.
      • Excellent legal drafting, negotiation, analytical, communication, and client-management skills.
      • Strong understanding of corporate transactions, governance, entity structures, capitalization, shareholder and partnership matters, and commercial arrangements.
      • Excellent organizational, planning, and project management capabilities, with the ability to manage multiple complex matters under demanding deadlines.
      • Strong business judgment and the ability to identify risks while developing commercially practical solutions.
      • Collaborative and team-oriented approach, with a demonstrated willingness and ability to mentor junior attorneys.
      • Excellent written and verbal communication skills and the ability to build trusted relationships with sophisticated clients.
      • Ability to work effectively and independently within a distributed, remote legal team.
      • Admission to and good standing with the Bar of the applicant’s state of residence.
      • Strong commitment to the clean energy transition and the broader mission of supporting sustainable development.
      • Benefits:

        • Base salary of $220,000+, with the overall salary range listed at approximately $220,000–$280,000+ depending on experience and other relevant factors.
        • Annual merit-based bonuses.
        • Bonuses for exceeding the 1,200 annual billable-hour requirement.
        • Additional origination bonuses based on a percentage of revenue generated from new clients and matters.
        • Fully remote work environment with the flexibility to work from a location where you are licensed to practice law.
        • Annual in-person team retreat.
        • 401(k) plan with firm profit-sharing matching.
        • Health, dental, vision, and prescription insurance coverage.
        • Paid time off and paid holidays.
