Job Purpose

Reporting to Senior Managing Counsel on the Great Minds Legal Team, the Senior Paralegal will manage the contract lifecycle end-to-end and coordinate communications directly with internal business clients and external customers, suppliers, vendors, and contractors, with authority to negotiate agreement terms, assess legal risk, and advise stakeholders on contract strategy. The Senior Paralegal operates with significant autonomy and owns the substantive content and risk posture of each contract, working directly with Sales, Product, Technology, Digital, and Finance stakeholders. The Senior Paralegal will serve as a senior resource within the contracts function, acting as an escalation point for contract resolution issues prior to attorney involvement. As part of Great Minds’ Legal team, this role is expected to provide guidance to Contract and Legal team members, support procedural improvements, oversee contract management system functionality, and ensure successful and timely contract execution.


Responsibilities

  • Draft, redline, and negotiate various commercial contracts of moderate to high complexity, applying sound judgment regarding risk allocation, liability, indemnification, company compliance, and other substantive legal terms within delegated authority.

  • Advise assigned business stakeholders on contract risk exposure and recommend courses of action before issues escalate.

  • Proactively anticipate contract issues (e.g., deadlines, deliverables, and compliance risks) and coordinate early action with stakeholders to prevent disputes and delays.

  • Resolve disputes, delays, or breaches, escalating to Senior Managing Counsel or outside counsel only for matters exceeding delegated authority or involving significant legal risk.

  • Translate business objectives into contract language that protects company interests and supports long-term strategic goals.

  • Review, approve and advise internal business clients on appropriate contract documentation with an eye to maintaining accuracy, managing legal risk, and tracking contract compliance prior to and following execution.

  • Identify patterns of risk or inefficiency across the contract portfolio and recommend changes to contract templates, playbooks, negotiation positions, and contract management system processes.

  • Guide the Legal Administrative Assistant on complex or ambiguous matters that require legal context and delegate administrative tasks related to maintenance of contract repository to Legal Administrative Assistant

  • Prepare regular contract portfolio analysis and summary for Senior Managing Counsel beyond routine status reporting.

Requirements

  • 5+ years’ of demonstrated paralegal experience, including ability to independently manage a broad range of commercial contracts (including drafting, redlining, negotiating and executing) with attention to risk, compliance, and business outcomes

  • Experience managing complex contract management systems, including technical understanding of platforms and demonstrated ability to use efficiently

  • Strong attention to detail, proficiency in establishing priorities and meeting deadlines, and careful attention to accuracy and confidentiality

  • Ability to work independently while having excellent verbal and written communication, collaboration, and interpersonal skills with a track record of successfully working cross-functionally with attorneys and business clients

  • Ability to work in a fast-paced environment, with demonstrated ability to balance multiple competing timelines and demands

  • Strong business judgment, work ethic, reliability, responsiveness, and organizational skills


Preferred Qualifications

  • Experience in the K-12 education B2B SaaS, and/or educational publishing industries that engage with state and local governments 

  • Experience serving as a subject-matter expert or escalation point in a contracts or legal operations environment

  • Notary certification

  • Experience working with Agiloft contract management system

The expected base salary range for this position is $85,000-$94,000, however the offered salary may be higher or lower than the above range dependent on numerous factors including, but not limited to location, work experience, skills and internal equity considerations. The base salary is not inclusive of benefits or other incentives.
