Senior Corporate Counsel, Data Centers and Infrastructure - Remote (996-SLS)

Our client is an innovative, publicly traded cloud infrastructure company that enables developers and businesses to build and scale applications, including increasingly sophisticated artificial intelligence workloads. As the company continues to grow, it seeks a Senior Corporate Counsel, Data Centers and Infrastructure to lead the high-value transactions that support the physical foundation of its global cloud platform.

Reporting to the Associate General Counsel, this attorney will join a small, collaborative legal team and serve as a key partner to the company's data center, procurement, engineering, operations, finance, tax, security, and compliance teams. This is a high-impact opportunity to take ownership of complex infrastructure projects in a fast-moving technology business.

Responsibilities

• Own and drive data center transactions from structuring through signature, including letters of intent, master services agreements, order forms, and related agreements.
• Draft and negotiate data center capacity leases, colocation agreements, design/build contracts, facilities and operations-and-maintenance agreements, and other arrangements supporting the development and operation of data centers.
• Lead infrastructure procurement agreements for GPUs, integrated server systems, network and power equipment, and other compute hardware.
• Partner cross-functionally on deal structure and provide practical counsel on risk allocation, supplier assessments, performance issues, and remediation.
• Support international expansion by adapting requirements for new jurisdictions and coordinating with local counsel on local law and market considerations.
• Build scalable templates, playbooks, fallback positions, and approval matrices, and contribute to other high-priority commercial and operational matters for a lean legal department.

Qualifications

• Approximately 6-8+ years of legal experience, including meaningful in-house experience supporting data center or comparable large-scale infrastructure projects.
• Direct experience negotiating data center agreements from a developer, provider, or tenant perspective, including single-tenant and/or colocation transactions involving modified-gross, triple-net, or similar lease structures.
• Experience with facilities and operations-and-maintenance agreements and familiarity with key operational terms, including service levels, maintenance windows, security requirements, audit rights, change control, and service credits.
• Strong foundation in technology and infrastructure transactions, with the ability to understand technical requirements and translate them into practical legal and commercial frameworks.
• J.D. from an accredited law school and active bar admission in at least one U.S. state.
• Proven ability to lead multiple complex projects independently, exercise strong business judgment, and deliver practical advice on aggressive timelines.
• Collaborative, low-ego, roll-up-your-sleeves approach and excellent communication and problem-solving skills.

Preferred Experience

• Significant experience negotiating enterprise data center leases.
• Familiarity with tax incentives and financing structures, international procurement, trade compliance, or supply-chain risk.
• Experience with power-related contracts, including interconnection agreements, electricity service agreements, power purchase agreements, or behind-the-meter generation structures.
• Experience with early-stage site-selection diligence, including zoning and permitting considerations.

This position is fully remote within the United States. Compensation is expected to range from $255,000 to $290,000 in base salary, plus a 20% target annual bonus and equity, commensurate with experience and qualifications.
