Job Description

Overview:

Visa is seeking a proactive product and commercial lawyer to join as Senior Counsel as part of the legal team supporting Visa’s Risk and Security Intelligence Solutions (RAS) organization. The position will report to a Senior Managing Counsel on the Value-Added Services Legal Team.

The primary responsibility of the role is to provide legal support for key RAS growth initiatives, product development, commercial transactions, acquisitions, and integration activities across a broad portfolio of fraud, risk, identity, and authentication solutions.  The attorney will serve as a strategic legal partner to the RAS organization on a wide range of matters, with responsibilities spanning existing product lines and new business development.

A near-term priority will include supporting Visa’s proposed acquisition of BioCatch, a leading provider of behavioral biometrics and advanced fraud detection. The proposed transaction is subject to regulatory approval. Pre-close, the role will focus on Visa-side integration planning, regulatory coordination, and legal preparedness efforts. Post-close, the candidate will support integration execution and provide ongoing legal counsel for the acquired business.  

The attorney will work closely with other experienced Visa lawyers and compliance professionals and regularly engage directly with business clients, including as a trusted advisor to BioCatch and RAS leadership.

Applicants must be skilled at managing multiple priorities and multiple time zones in a fast-paced and challenging, but highly rewarding, environment; have good judgment and strong analytical, client counseling, and negotiation skills; be an adept issuer spotter and creative problem solver; be self-motivated; and, most importantly, be an optimistic, curious, and collaborative leader and team player.

The role is based in Atlanta, GA. Candidates who currently sit in a Visa office in the U.S. are eligible to apply.

  • Ensure compliance with pre-closing obligations and information-sharing protocols
  • Work closely with business and cross-functional teams to understand and achieve key business objectives and help them develop compelling product and service offerings
  • Provide advice and counsel to business line and management on transactional legal matters, proposed corporate actions, and product launches
  • Draft, negotiate, and drive to completion complex commercial agreements that achieve business objectives, and continue to support those business relationships once consummated
  • Provide sophisticated and creative counseling and advice to business teams regarding product development, deployment, and associated commercial and contracting considerations
  • Manage regulatory support, including monitoring conditions or commitments arising from the regulatory approval process, jurisdiction-specific regulatory assessments, and evaluation of how shifts in regulatory landscapes may impact Visa and its partners
  • Work closely with Visa’s regional legal and business teams globally, and assist these teams in resolving regional and local issues, including to achieve consistency on approaches and issues by Visa worldwide
  • Review externally facing documentation for compliance with securities laws, disclosure policies, data use policies and requirements, competition law issues, etc.
  • Where required, coordinate and supervise outside counsel for timeliness, cost-effectiveness, and excellence of service and work product

Visa requires at least 3 days in office, expectations of these days will be confirmed by your Hiring Manager.

Qualifications

Basic Qualifications:

  • 10 or more years of work experience with a Bachelor’s Degree or at least 8 years of work experience with an Advanced Degree (e.g. Masters/ MBA/JD/MD) or at least 3 years of work experience with a PhD

Preferred Qualifications:

  • 12 or more years of work experience with a bachelor’s degree or 8-10 years of experience with an Advanced Degree (e.g. Masters, MBA, JD, MD) or 6+ years of work experience with a PhD.
  • Strong academic credentials, including a J.D. degree (or international equivalent)
  • Valid license to practice in the state where the job is located or the ability to become state registered in-house counsel in good standing
  • Prior experience in at least one of the following areas: payments (and related credit and debit processing), financial services, technology or fintech industries experience
  • Prior experience in complex global, cross-jurisdictional projects, including transactions subject to antitrust or regulatory review.
  • Demonstrated ability to drive execution in a team environment, integrating legal advice and business knowledge while providing balanced advice regarding risks and benefits
  • Must be able to work independently and collaboratively as needed, and engage directly with business clients at all levels
  • Must be a practical and creative problem-solver with developed business acumen and the ability to understand the company's business interests and anticipate the nature and magnitude of issues that could arise in various settings
  • Must be able to manage and drive the legal and regulatory aspects of complex business initiatives, both in the U.S. and internationally
  • Transactional background (corporate, commercial arrangements) with extensive experience drafting and negotiating a wide array of commercial agreements
  • Working knowledge of privacy and competition laws
  • Must be able to multitask and manage a significant workload and many clients with minimal supervision, while providing timely responses to inquiries.


Information for US Applicants

For roles located in the US, the estimated salary range for this position is $219,200.00 to $ 350,700.00 USD per year, which may include potential sales incentive payments (if applicable). Salary may vary depending on job-related factors which may include knowledge, skills, experience, and location. In addition, this position may be eligible for bonus and equity.Visa has a comprehensive benefits package for which this position may be eligible that includes Medical, Dental, Vision, 401(k), FSA/HSA, Life Insurance, Paid Time Off, and Wellness Program.

Travel Requirements

This position requires travel 5-10% of the time.

This position will be performed in an office setting. The position will require the incumbent to sit and stand at a desk, communicate in person and by telephone, frequently operate standard office equipment, such as telephones and computers.
