Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Counsel, Strategic Deals based in the United States.

This is a senior legal opportunity focused on complex technology transactions, strategic partnerships, commercial initiatives, and M&A support. You will own high-impact deals end to end while partnering closely with senior legal leadership on the most significant negotiations. The role combines sophisticated technology transactions expertise with practical commercial judgment and close collaboration across business and legal functions. You will advise teams on IP licensing, technology rights, AI terms, strategic product initiatives, and complex partnership structures. As part of a newly established strategic deals function, you will also help create the playbooks, templates, and processes needed to scale the team effectively. This role is well suited to an experienced technology transactions attorney who enjoys operating in a fast-moving environment and translating complex legal issues into clear business recommendations.

Accountabilities:

    • Own the drafting, review, negotiation, and execution of complex strategic partnership agreements, including OEM, technology licensing, technology alliance, and other strategic commercial arrangements.
    • Manage strategic deals from initial structuring through execution while supporting the Legal Director on the organization’s largest and most complex transactions.
    • Negotiate and advise on intellectual property ownership, licensing scope, data rights, AI-related provisions, and other technology rights.
    • Partner with Product and go-to-market teams on strategic product initiatives, translating new offerings and commercial models into clear and practical customer and partner terms.
    • Support M&A activities by conducting commercial contract diligence, identifying material risks in customer, partner, technology, and IP agreements, and supporting post-close contract integration and assignment workstreams.
    • Provide practical, business-focused legal advice to deal teams, identify material risks, and communicate clear recommendations on how those risks should be addressed.
    • Develop templates, negotiation playbooks, processes, and other resources that enable the strategic deals function to operate consistently and scale effectively.
    • Coordinate with commercial, product/IP/AI, privacy, security, procurement, finance, business development, technology partnerships, engineering, and corporate development stakeholders to establish consistent positions across strategic transactions.
    • Requirements:

      • Juris Doctor (JD) from an accredited U.S. law school or equivalent qualification, together with an active license to practice law in a U.S. state.
      • 8+ years of legal experience focused on technology transactions, ideally combining top-tier law firm and in-house technology company experience.
      • Strong working knowledge of IP licensing and complex technology agreements, including OEM, strategic alliance, SaaS, and technology licensing arrangements.
      • Demonstrated ability to independently negotiate sophisticated agreements with experienced counterparties and manage complex transactions from beginning to completion.
      • Strong commercial judgment and business acumen, with the ability to understand the broader business objectives behind a transaction rather than focusing solely on contractual language.
      • Excellent written and verbal communication skills, including the ability to explain complex legal concepts clearly to business stakeholders.
      • Practical experience using AI tools to improve legal workflows, including drafting, contract review, diligence, research, or knowledge management.
      • Cybersecurity and/or enterprise SaaS experience is preferred, as is experience with channel, OEM, and MSSP or service-provider programs.
      • Experience advising on agentic or autonomous AI products, including training data, output rights, and liability allocation, is preferred.
      • M&A experience, particularly commercial contract diligence and post-close contract integration, is a plus.
      • Strong ability to collaborate across legal, commercial, product, engineering, finance, and corporate development teams.
