Job Description

‎ 

*Prepare and review legal documents applicable to position’s area of specialty for approval and use by the Law Department across the Company and affiliates.

*Research and analyze legal sources and documents to provide legal support services to attorneys, internal clients and outside counsel with minimal supervision.

*Communicate complex information, both written and oral, to Colleagues at all levels of the Company and affiliates.

Requirements:

  • Bachelor's Degree preferred or requires Paralegal certification by an American Bar Association accredited program in lieu of Bachelor's Degree and minimum of five years experience as an insurance, transactional, litigation and/or employee benefits specialist legal assistant/paralegal.  

  • Minimum of five years of legal assistant/paralegal experience in a relevant legal specialty, including trust administration, corporate governance, transactions, investments, M&A support, employee benefits, litigation, general corporate matters, and project management.

  • Experience drafting, reviewing, organizing, and managing legal documents related to trusts, corporate governance, investment transactions, M&A due diligence, entity records, related-party transactions, and closing materials.

  • Strong ability to coordinate with internal stakeholders, trustees, family office teams, company officers, outside counsel, accountants, investment advisors, and other external advisors to manage legal projects and respond to legal inquiries.

  • Demonstrated experience managing transaction support, including due diligence, virtual data rooms, deliverables, closing conditions, post-closing obligations, closing binders, and special legal projects.

  • Proficiency with legal technology, document management systems, matter tracking, workflow improvements, and process enhancements designed to improve efficiency, consistency, visibility, and risk management.

  • Strong analytical, organizational, written and verbal communication, interpersonal, and consultative skills, including the ability to support training on trust administration, governance, transactional processes, and compliance obligations.
