Job Description
This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Sr. Corporate Counsel based in the United States.
This senior legal role provides strategic counsel across global commercial and corporate contracting activities within a fast-growing healthcare technology environment.
You will lead the drafting, negotiation, interpretation, and management of a broad portfolio of complex commercial agreements.
The position combines sophisticated legal work with practical business partnership, helping leaders identify risks and develop creative, commercially sound solutions.
You will collaborate closely with teams across regulatory, finance, R&D, quality, IT, procurement, business development, and other functions.
A key part of the role is strengthening contract processes, controls, systems, training, and lifecycle management as the organization expands internationally.
The role offers substantial autonomy, visibility with senior decision-makers, and the opportunity to influence how legal operations scale.
This is a fully remote U.S. opportunity suited to an experienced commercial attorney who brings sound judgment, strong communication, and a business-oriented mindset.
Accountabilities
- Provide legal and business advice, drafting, negotiation, and interpretation support for a broad range of commercial and operational agreements, including NDAs, software and SaaS agreements, services and consulting agreements, marketing, supply and manufacturing agreements, equipment leases, distribution, collaboration, partnership, development, and clinical trial agreements.
- Partner directly with key business decision-makers during negotiations, identifying material legal and commercial risks and developing practical mitigation strategies and solutions.
- Support expanding international operations by proactively identifying legal and business risks and collaborating cross-functionally on appropriate responses.
- Develop, implement, administer, and continuously improve contract administration processes, systems, procedures, and internal controls.
- Work with contract administrators to monitor contractual obligations, renewals, expirations, and other key covenants.
- Strengthen legal-process training and communications to promote consistent and effective contract management practices.
- Collaborate with regulatory, procurement, R&D, finance, quality, IT, corporate, business development, and other teams to maintain an efficient contract lifecycle and ensure compliance with applicable laws, regulations, and internal policies.
- Identify and implement appropriate approval controls for new contractual commitments and support financial advisors and internal audit teams with requested documentation.
- Manage outside counsel when required and maintain strict confidentiality regarding legal communications and documentation.
- Help ensure contractual compliance with privacy requirements, including HIPAA, CCPA, and GDPR, as well as healthcare and medical-device regulations such as EU/UK MDR and FDA requirements.
- Juris Doctor (JD) or equivalent law degree with excellent academic credentials.
- Active license to practice law in California, or admission in another U.S. state with eligibility and registration as In-House Counsel in California.
- 10+ years of relevant legal experience, including substantial experience handling complex commercial transactions.
- Preferably, at least 2 years of in-house legal experience within the medical device, pharmaceutical, biotechnology, or related healthcare industry.
- Strong and broad knowledge of commercial and contract law, with demonstrated experience drafting and negotiating sophisticated agreements.
- Familiarity with the federal False Claims Act, Anti-Kickback Statute, and Food, Drug, and Cosmetic Act.
- Working knowledge of general privacy laws and of international, federal, and state requirements applicable to medical-device organizations.
- Excellent written and verbal communication skills, with the ability to translate complex legal considerations into practical business guidance.
- Strong organizational skills and the ability to work independently, prioritize effectively, and manage a substantial and diverse workload in a rapidly growing environment.
- High integrity, sound judgment, discretion, and a strong commitment to professional ethics.
- Candidates must be authorized to work for any U.S. employer; visa sponsorship or transfer of sponsorship is not available for this position.
- Base salary: $225,000–$250,000 annually, with actual compensation determined by relevant knowledge, skills, experience, location, and market conditions.
