Job Description

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Vice President of Legal based in the United States.

We are seeking a senior legal executive to lead enterprise-wide legal strategy, governance, and compliance for a growing healthcare services platform. This fully remote leadership role serves as the primary in-house legal advisor, partnering closely with executive leadership and the Board on complex legal and strategic matters. You will oversee corporate and employment law, healthcare regulatory compliance, physician contracting, mergers and acquisitions, and multi-entity governance. A key priority will be bringing critical legal responsibilities in-house while strengthening risk management and improving the efficiency of external legal support. You will also lead a compliance team and help ensure the organization operates responsibly within a complex, highly regulated healthcare environment. This opportunity is ideal for an experienced healthcare attorney who combines executive presence, practical legal judgment, and a hands-on approach to strategic problem-solving.

Accountabilities:

    • Enterprise Legal Leadership: Serve as the principal internal legal advisor on corporate, commercial, employment, regulatory, and compliance matters across the organization.

    • External Counsel Management: Act as the primary liaison with outside counsel, overseeing legal matters, establishing priorities, managing resources, and improving efficiency.

    • Strategic Transactions and Due Diligence: Lead legal due diligence for acquisitions, strategic initiatives, integrations, and other business growth activities.

    • Employment and HR Legal Support: Advise on employment policies, employee relations, workplace investigations, employment law compliance, and risk mitigation within a regulated healthcare environment.

    • Compensation and Incentive Structures: Provide legal guidance on compensation arrangements, incentive plans, and employment-related regulatory considerations relevant to healthcare organizations.

    • Physician Contracting: Oversee physician agreements, ensuring contractual arrangements meet applicable healthcare regulatory requirements and align with the needs of the management services organization and affiliated practices.

    • Corporate Governance and Board Support: Provide governance guidance and support quarterly Board meetings, including meeting preparation, documentation, and the preparation of Board minutes.

    • Corporate Entity Management: Oversee the organization's legal entity structures, regulatory filings, corporate records, and ongoing entity compliance requirements across multiple entities.

    • Compliance Oversight: Lead the compliance function, managing two direct reports: a Senior Manager of Compliance and an Auditor.

    • Regulatory Risk Management: Partner with compliance leadership to monitor adherence to healthcare laws and regulations, identify potential risks, and coordinate appropriate remediation.

    • Executive Partnership: Collaborate with executive leadership and cross-functional stakeholders, including HR, Finance, and Operations, to provide actionable legal guidance on complex business decisions.

    • Requirements:

      • Education: Juris Doctor (JD) from an accredited law school.

      • Bar Admission: Active state bar admission in Texas or the state of residence.

      • Legal Experience: Approximately 8–15 or more years of total legal experience, including some in-house legal experience.

      • Healthcare Industry Expertise: Prior legal experience within a healthcare organization, management services organization (MSO), healthcare services platform, or related healthcare-focused environment.

      • Corporate and Commercial Law: Strong experience with commercial contracts, corporate law, mergers and acquisitions, governance, and regulatory matters, preferably within healthcare services.

      • Healthcare Regulatory Knowledge: Extensive experience advising healthcare organizations on regulatory compliance, employment law, organizational risk management, and applicable federal and state healthcare laws.

      • Governance and Entity Structuring: Demonstrated expertise in legal entity structuring, corporate governance, regulatory filings, and maintaining compliance across multi-entity organizations.

      • Executive Advisory Experience: Proven ability to advise executive leaders and Board members and collaborate effectively across HR, Finance, Operations, and other business functions.

      • Contract Drafting and Negotiation: Strong drafting, negotiation, and contract management skills across commercial and corporate agreements.

      • Risk Assessment and Problem-Solving: Ability to assess complex legal risks, interpret multi-jurisdictional requirements, and provide clear, practical recommendations under tight deadlines.

      • Outside Counsel Management: Experience directing external legal advisors and managing complex legal matters in alignment with organizational priorities.

      • Leadership and Communication: Excellent communication, sound judgment, discretion, executive presence, and the ability to influence stakeholders and build trusted relationships.

      • Work Environment: Ability to work effectively in a fully remote, full-time executive role, with occasional travel for significant legal matters, executive meetings, or business integrations.

      • Benefits:

        • Healthcare Coverage: Multiple medical, dental, and vision insurance plan options.

        • Disability Protection: Short-term and long-term disability coverage.

        • Life and Accident Insurance: Life insurance, accident coverage, and indemnity benefits.

        • Legal Services: Access to legal services benefits.

        • Employee Assistance: Employee Assistance Program (EAP).

        • Retirement Plans: Access to retirement savings plans.

        • Paid Time Off: Paid time off (PTO) and paid holidays.

        • Career Development: Opportunities for meaningful work, professional growth, and career advancement.

        • Work Flexibility: Fully remote work arrangement.

        • Compensation and Culture: Competitive compensation, comprehensive benefits, strong leadership, and a collaborative workplace culture.
